Handle SME-level to corporate-level corporate and commercial transactions, including share allotments/transfers, shareholder arrangements, strategic partnerships, investment exercises, and restructuring.

Draft and negotiate corporate and commercial agreements, such as Shareholders’ Agreements, Joint Venture Agreements, Subscription Agreements, Share Sale/Transfer Agreements, licensing agreements, and service contracts.

Advise clients of all business sizes on corporate structuring, commercial arrangements, governance issues, and compliance with the Companies Act 2016 and other relevant laws and regulations.

Able to conduct due diligence and prepare legal reports for share transactions, investment matters, and commercial partnerships.

Provide legal research and strategic analysis to support transaction planning and commercial decision-making.

Ensure compliance with statutory and regulatory requirements across both corporate and commercial workstreams.

Collaborate with clients, internal teams, and external parties to deliver practical, business-focused legal solutions.

Review and supervise junior associates’ work across SME and corporate matters.

• Malaysian-qualified lawyer with at least 3 - 5 years PQE in corporate and commercial practice.
• Strong experience handling both SME-level transactions (JVs, shareholder issues, commercial arrangements) and corporate-level transactions (M&A, fundraising, restructuring).
• Proven capability to manage and execute deals independently or with minimal supervision.
• Excellent skills in drafting, negotiation, legal analysis, and transactional execution.
• Able to manage multiple matters efficiently and work under tight timelines.
• Strong leadership traits and a genuine interest in mentoring junior lawyers.
• Highly detail-oriented, meticulous, and adaptable to dynamic environments.
• Professional, client-centric, and confident in communication.
• Proficient in English and Bahasa Malaysia.
