A leading legal firm in Kuala Lumpur seeks an experienced corporate lawyer to handle SME to corporate-level transactions. The candidate will draft and negotiate various agreements, conduct due diligence, and provide strategic legal analysis. The ideal applicant is a Malaysian-qualified lawyer with 3-5 years of experience in corporate and commercial practice, strong leadership skills, and proficiency in English and Bahasa Malaysia. This position offers an opportunity to mentor junior lawyers in a dynamic environment.
Handle SME-level to corporate-level corporate and commercial transactions, including share allotments/transfers, shareholder arrangements, strategic partnerships, investment exercises, and restructuring.
Draft and negotiate corporate and commercial agreements, such as Shareholders’ Agreements, Joint Venture Agreements, Subscription Agreements, Share Sale/Transfer Agreements, licensing agreements, and service contracts.
Advise clients of all business sizes on corporate structuring, commercial arrangements, governance issues, and compliance with the Companies Act 2016 and other relevant laws and regulations.
Able to conduct due diligence and prepare legal reports for share transactions, investment matters, and commercial partnerships.
Provide legal research and strategic analysis to support transaction planning and commercial decision-making.
Ensure compliance with statutory and regulatory requirements across both corporate and commercial workstreams.
Collaborate with clients, internal teams, and external parties to deliver practical, business-focused legal solutions.
Review and supervise junior associates’ work across SME and corporate matters.
