We are seeking a proactive and business-oriented Legal Counsel to support the corporate, commercial and operational matters. The ideal candidate will possess strong experience in contract management, corporate and commercial law, and cross-functional advisory work. This role requires a solution-driven professional who can balance legal risk with business objectives while ensuring the highest standards of regulatory, compliance, and governance practices.

• Draft, review, and negotiate a wide range of contracts including Master Service Agreements, reseller agreements, vendor contracts, intellectual property agreements, and other commercial arrangements.
• Review agreements not only for compliance but also to safeguard the company’s interests while ensuring adherence to applicable laws.
• Strive to create fair, win–win contractual arrangements, particularly in service and reseller agreements, to support sustainable business relationships.
• Maintain proper documentation and ensure contract compliance across all business units.

• Monitor and ensure compliance with applicable laws, regulations, and company policies.
• Advise management on compliance risks and require corrective action where necessary.
• Represent the company in legal disputes, negotiations, and discussions with external parties, regulators, or authorities.
• Liaise with external counsel when necessary and manage related costs effectively.
• Serve as the primary legal advisor to the company and departments, providing professional, practical, and business-oriented legal advice.
• Identify potential legal and operational risks and propose strategies to minimize legal and financial exposure.
• Support HR on employee relations matters and provide legal guidance on people issues, disciplinary cases, or policy updates when necessary.
• Liaison with parent company in US on legal and corporate matters.

• Review and advise on internal policies, SOPs, and corporate governance matters to ensure legal soundness and alignment with best practices.
• Provide training and knowledge-sharing sessions to enhance employees’ awareness of legal and compliance requirements when necessary.

• Bachelor’s Degree in Law (LLB) from a recognized institution; professional qualification (e.g., CLP, Bar, or equivalent) is required.
• Minimum 5 years of legal practice or in-house counsel experience, with strong exposure to corporate, commercial, and employment law.
• Proven experience in contract drafting, intellectual property matters, compliance, and dispute resolution.
• Excellent communication, negotiation, and analytical skills.
• Experience working with listed or corporate groups is an added advantage.
• Exposure to SaaS, technology, or digital business legal matters is preferred.
