Senior Legal Counsel

We are currently based at KL Eco City, Malaysia.

We are seeking a Senior Legal Counsel with 5 - 10 years' post qualification experience in offshore oil & gas contracting to lead complex negotiations for FPSO projects. The role focuses on charter agreements, EPCI/EPCIC, and O&M arrangements with IOCs/NOCs. The candidate must be fully qualified lawyer in the UL or another common law jurisdiction, with deep expertise in offshore delivery models, risk allocation, and cross functional collaboration.

Primary Responsibilities
  • Lead negotiation, drafting, and execution of:
  • FPSO charter agreements
  • EPCI/EPCIC contracts and related project agreements.
  • O&M agreements, MSAs, framework agreements, and long‑term support contracts.
  • JV/consortium.
  • Define and own risk allocation:
  • Indemnities, knock‑for‑knock, consequential loss exclusions, liability caps.
  • LDs for schedule/performance, warranties, availability/uptime.
  • Variations/change orders, E0T, price adjustments, force majeure, suspension/termination.
  • Support bids/tenders:
  • Review ITT/RFP terms, prepare deviations/qualifications and lead clarifications to award.
  • Align exceptions with technical deliverables, schedules, and cost models.
  • Regulatory and compliance oversight e.g.: Sanctions/export controls, anti‑bribery/anti‑corruption (FCPA, UK Bribery Act).
  • Local content
  • Human rights
  • Governance and knowledge management:
  • Develop fallback positions, and negotiation guides tailored to FPSO markets.
  • Track market clauses and benchmark against recent industry transactions and client standards.
Qualifications
  • Fully qualified lawyer admitted in the UK (or another common law jurisdiction).
  • LL.B/J.D.; LL.M in energy or international business law is an advantage.
  • Minimum 5 years' PQE in offshore oil & gas contracting, ideally within an FPSO contractor, EPCI/EPCIC contractor, or leading law firm.
