Description du poste

ROLE PURPOSE
Execute and implement market leading contracts, which will safeguard the company.
Create and adapt customer and supplier contracts in a timely manner.
Provide governance around complex legal issues.

ROLE REQUIREMENT
Assume responsibility for the following:

  1. Key Performance Indicators: Core, essential responsibilities / outputs of the position (KPI's)

The Junior Legal Advisor: Commercial Legal will be accountable to achieve the following objectives:

  1. Attending to required legal due diligences, contract storing and management.
  2. Assisting the Executive Head to review, draft and negotiate legal aspects of commercial arrangements concluded by the company.
  3. Manage and provide legal advice and opinions.
  4. Manage and participate in various projects and initiatives undertaken by different departments, including liaison with other stakeholders.
  5. Draft and update contract templates in line with the best practices as suggested by Head of Legal.
  6. Provide support, guidance and advice to stakeholders regarding legal aspects of transactions, legal risks and other legal matters relating to technology services.
  7. Manage legal relationships with suppliers.
  8. Effective negotiation, drafting and reviewing of quality contracts with Executive Head of Legal's input for complex matters.
  9. Attend to all legal queries from various departments.
  10. Liaise with, and collate feedback from, various internal stakeholders and departments for purposes of transactions, initiatives and projects.
  11. Ensure that input of relevant internal stakeholders and departments are addressed and reflected in transaction documents and in policies and procedures.
  12. Advise management and stakeholders on new legislation and the impact thereof on the business.
  13. Monitor and keep abreast of legal and industry developments and update the Universe of Laws.
  14. Liaise with, and manage, external law firms if required for special legal advice.
  15. Ensure all agreements, letters of intent and contracts comply with company policies and procedures.
  16. Assist in selection and evaluation of contractors and tendering processes.
  17. Identify possible risks and manage the implementation of mitigating strategies.
  18. Participate and contribute to RFPs, RFQs and procurement activities and evaluate responses from Vendors / Clients.
  19. Ensure all vendor / client responses and details are captured in the transaction documents, once the vendor has been selected.
  20. Ensure you save all signed contracts and legal letters on the legal folder.
  21. Track and enforce key contract terms.
  22. Manage non-adherence to contractual commitments and discuss the matters with the Executive Head of Legal.

Key Deliverables:
Contract Management and storage of signed documents.
Draft, negotiate and formalise legal aspects of commercial arrangements concluded by the company.
Liaise with, and collate and incorporate feedback from, various internal stakeholders and departments for purposes of transactions, initiatives.
Provide support, guidance and advice to stakeholders regarding legal aspects of transactions, legal risks and other legal matters relating to technology.
Generally managing all matters and issues relevant to the legal aspects of the company.
Ensuring that the Universe of Laws is up to date.

The Company is entering a new phase in its lifecycle where operational and commercial excellence has become critical for success. The urgency for change has become more heightened amidst increased competitive intensity across the commercial technology sphere.

The company's Commercial Legal function must therefore ensure the successful delivery in context of:

  1. Rapidly changing technology environment.
  2. The geographic complexity of the company's future footprint across Africa and the Middle East.
  3. Achievement of top operating efficiency and effectiveness through scale and common contract structure and processes.
  4. Driving growth through business intelligence software and standardization to maximise legal's impact on business.
  5. Management of customer and supplier expectations in contract negotiations with Executive Head of Legal.
  6. Enhancing the Company's position as a leading provider in technology during contract negotiations.
  7. Managing dynamics and local challenges in the economic, regulatory and legal environments.

Other Requirements:
Able to build strong interpersonal relationships with peers, brand leaders, and other senior management throughout the company.
Excellent verbal and written communication skills.
Understanding of the technology industry.

QUALIFICATIONS & EXPERIENCE
A Qualified Attorney with completed articles.
Admitted attorney preferred.
1-3 years' experience in a commercial legal environment and exposure to IT and Telco business.
