Legal & Compliance Officer & Foundation Secretary

Key Responsibilities – Legal & Compliance Officer
- Draft and negotiate commercial and non-commercial agreements, letters, and legal documents.
- Provide administrative support for legal documentation.
- Assist with litigation, employment matters, fundraising, trademarks, and related initiatives.
- Develop, maintain, and review internal policies and processes on legal matters.
- Advise on applicable laws and regulatory requirements for the foundation entity and ensure statutory compliance.
- Liaise with internal and external stakeholders on legal issues.
Compliance & Governance
- Support the implementation of a compliance and ethics strategy, including anti‑bribery and corruption (ABAC) policies, integrity framework, and risk mitigation.
- Monitor and report on compliance activities, embedding ethics across business functions.
- Continuously improve compliance processes and systems through technology and innovation.
- Conduct periodic corruption risk assessments and ensure controls are in place.
- Oversee approval processes, ensuring business activities comply with internal policies and external regulatory requirements.
Foundation Secretary
- Governance & Compliance
- Ensure adherence to all legal and regulatory obligations, including charity, corporate, or non‑profit laws.
- Maintain and update constitutional documents (e.g., trust deed, bylaws, articles of association).
- Provide governance guidance to the Board of Trustees and senior management.
- Keep abreast of legal and regulatory developments affecting the foundation.
- Board Affairs
- Organize board meetings: set agendas, schedule, distribute papers, and prepare materials.
- Record and distribute accurate minutes; track action items to completion.
- Support the Chairperson and board members in governance processes and decision‑making.
- Maintain a register of trustees and key stakeholders.
- Records & Documentation
- Maintain statutory registers (trustees, members, conflicts of interest, etc.).
- Safeguard critical legal, financial, and governance documents.
- Prepare and file annual returns, statutory filings, and compliance reporting with regulatory bodies.
- Communication & Liaison
- Serve as primary contact between the Board, management, regulators, and external stakeholders.
- Handle formal correspondence on behalf of the foundation as needed.
- Risk Management & Ethics
- Identify governance risks and develop mitigation strategies.
- Promote ethical standards, transparency, and accountability across the organization.
