SUMMARY

• The ideal candidate will provide legal advice and work on business mergers and acquisitions (M&A), initial public offerings (IPOs), corporate restructuring, corporate finance, due diligence and commercial matters.
• The role requires a strong understanding of Malaysia’s corporate and commercial laws, regulations, and securities compliance to support the organization’s strategic business transactions.

JOB RESPONSIBILITIES

• Provide legal advisory services on corporate transactions, including M&As, IPOs, and corporate restructuring.
• Draft, review, and negotiate share sale agreements, shareholder agreements, prospectus and corporate documentation and conduct relevant due diligence.
• Ensure compliance with Malaysia’s legal framework, including the Companies Act 2016, Capital Markets & Services Act 2007, SC Guidelines and Bursa Malaysia listing requirements.
• Liaise with Securities Commission Malaysia (SC), Bursa Malaysia, Bank Negara Malaysia (BNM), and other regulatory bodies for legal approvals and compliance matters.
• Handle risk management by identifying potential legal risks and recommending mitigation strategies.

JOB REQUIREMENTS

• Bachelor of Laws (LLB) from a recognized university. A Master of Laws (LL.M) is an added advantage.
• Admitted to the Malaysian Bar as an Advocate & Solicitor.
• Minimum of 6 years' experience in corporate laws contemplated in the job scope above.
• Strong understanding of Malaysia’s corporate legal framework and international business regulations.
• Proven experience handling large-scale M&As, IPOs, and corporate restructuring.
