A leading company in Port Klang is seeking an Assistant Manager / Manager for Group Company Secretarial roles. The successful candidate will ensure compliance with the Companies Act 2016 and act as liaison with authorities. Responsibilities include managing board meetings, statutory submissions, and providing governance advisory support. Candidates should possess at least 5 years of relevant experience, a degree in related fields, and solid knowledge of secretarial practices. Proficiency in Microsoft Office and relevant software is essential.
Ensure ongoing compliance with legislation outlined in the Companies Act 2016. Act as the official liaison for communication with Suruhanjaya Syarikat Malaysia (SSM) and manage the preparation and submission of statutory returns within the statutory deadline. Guarantee all company documents align with both business requirements and legal obligations. Monitor and proactively address changes in laws and regulations in relation to Companies Act 2016 adapting company practices accordingly. To assist in organising and managing meetings of board of directors (“Board”), and shareholders (collectively, “Meetings”) which include co-ordinating, preparing and distributing all relevant papers of meetings. To attend the Meetings when required, accurately record the proceedings of the Meetings and promptly notify key decisions/directives of the relevant parties for their information/actions. To assist in providing quality secretarial and governance advisory support services to the Board and senior management. To liaise with authorities, auditors, and other professionals on any corporate secretarial matters as required. To execute any other job responsibilities as and when required by the superior or any other persons designated by the company.
A minimum 5 years of relevant company secretarial experience.
MAICSA or Licensed secretary qualification is required.
Degree in Corporate Administration, Law, Business Administration, or related fields.
Experience handling listed companies or working in a professional services environment is a strong advantage.
Sound knowledge of secretarial practice, Act 2016, Stamp Act, SSM statutory requirements and other rules & regulations.
Detail-oriented with strong organizational, communication, and client servicing skills.
Proactive, resourceful, independent, meticulous, multitasking, strong sense of responsibility, job ownership and commitment.
Good command of written and oral in English & Bahasa Malaysia.
A good team player with good interpersonal and communication skills and able to work with minimum supervision.
Proficient in Microsoft Office applications, electronic board meeting software and other common office software applications MBRS, MyCoID, MYDATA and e-info.
