Role Purpose

The Senior Manager of Corporate Finance will lead strategic financial initiatives, including large-scale M&A, joint ventures, and capital structuring. This role is pivotal in driving the valuation process, ensuring regulatory compliance within the Bursa Malaysia framework, and supporting the GCFO in high‑level negotiations to safeguard the Group’s interests.

Key Responsibilities
Strategic Assessment & M&A Execution
  • Lead and conduct comprehensive feasibility studies, strategic evaluations, and assessments for investment, M&A, joint venture, and partnership opportunities.

  • Drive the valuation process for target companies using diversified methodologies; prepare detailed financial models, projections, and feasibility reports.

  • Structure financial models for mergers and acquisitions, including pre‑ and post‑acquisition business models, comprehensive cash flows, P&L, and balance sheet projections.

  • Execute preliminary due diligence, valuations, and assess pro‑forma impacts on Group accounts.

Corporate Exercise & Regulatory Compliance
  • Assist the GCFO in formulating corporate exercises and negotiating key terms and structures to ensure optimal outcomes for the Group.

  • Develop corporate documentation, including board papers, high‑level presentations, legal documents, and Bursa announcements, ensuring 100% accuracy and regulatory adherence.

  • Monitor Condition Precedents implementation to ensure the timely and successful completion of corporate exercises.

  • Oversee post‑M&A integration, including entity structuring and financial system setup.

Qualifications & Requirements
  • Education: Bachelor’s Degree in Accounting or a recognized professional accounting qualification (e.g., ACCA, CPA, MICPA).
  • Experience: 8 to 10 years of professional experience, with at least 5 years in a leadership role within Corporate Finance.
    • Proven track record within a Public Listed Company (PLC) or a Big Four audit firm.
  • Technical Competencies:
    • Expert‑level financial modeling, valuation, and analytical skills.
    • Specialized expertise in structuring corporate finance and investment proposals.
    • Solid knowledge of Bursa Malaysia Listing Requirements and statutory compliance standards.
  • Soft Skills:
    • Excellent writing and presentation skills, with the ability to draft documents for Board‑level review.
    • Highly proactive, results‑driven, and able to lead initiatives in a fast‑paced, dynamic environment.
    • Exceptional interpersonal skills to manage diverse stakeholders and build cross‑functional relationships.
