Job description

We are seeking a highly driven and detail-oriented Executive / Assistant Manager with proven competencies in both legal and corporate secretarial functions to support a dynamic and fast-paced corporate environment. This role requires excellent drafting skills, governance knowledge, regulatory awareness (e.g. Bursa, Companies Act, BNM, SC), and the ability to handle confidential matters with discretion and independence.

The ideal candidate will work closely with the Head of Legal & Corporate Affairs and liaise with senior management, external advisors, regulatory bodies, and named company secretaries across multiple entities, including a Bursa-listed company and its subsidiaries.

Key Responsibilities

Draft, review, and proofread a variety of legal documents and commercial contracts (e.g. NDAs, board resolutions, term sheets, shareholder agreements, service agreements, RPS documents).

Conduct legal and regulatory research (Companies Act, Bursa ACE LR, BNM Guidelines, SC Rules, etc).

Support ongoing regulatory submissions, commercial transactions, and fundraising exercises (e.g. VCMC licence, M&A, RPS, debt instruments).

Assist in preparation of board papers, internal memos, due diligence checklists, and internal communications.

Monitor legal timelines, conditions precedent, and document version control.

Ensure statutory compliance of all companies under the portfolio in accordance with Companies Act 2016 and Bursa Securities Requirements.

Coordinate with named company secretaries for multiple group entities (including listed and regulated entities).

Draft, review, and manage documentation such as board/shareholder resolutions, minutes, notices, and corporate registers.

Assist in the preparation and dispatch of board circulars, notices, and announcements (e.g. Bursa filings, SC updates).

Maintain and organise legal/cosec document servers (signed/dated resolutions, agreements, SSM forms, etc).

Liaise with internal departments, external auditors, legal counsel, and regulatory bodies for corporate governance matters.

Assist in group restructuring exercises, corporate actions, share transfers, and incorporation of new entities.

Perform other tasks or jobs as may be prescribed by the management.

Requirements

Degree or Diploma in Corporate Administration, Law, or related field.

Licensed Company Secretary (SSM) or currently pursuing licensure is an advantage.

Minimum 3 – 5 years of working experience, ideally with exposure to: (a) Listed company governance (b) Legal drafting and contract management (c) Coordination with named cosec firms and regulators

Experience handling offshore entities (especially BVI and Labuan) is an advantage.

Licensed Company Secretary (SSM) or currently pursuing licensure is an advantage.

Well-versed in Companies Act 2016 and Listing Requirements of Bursa Malaysia.

Strong written and spoken English.

Excellent attention to detail and document formatting.

Familiarity with legal / cosec digital filing protocols and version control.

Able to manage multiple deadlines and operate under minimal supervision.

Highly organised, self-motivated, and able to maintain strict confidentiality.
