A legal and compliance services company in Petaling Jaya seeks an experienced leader to manage all legal matters, oversee company secretarial functions, and ensure compliance with Malaysian laws. Candidates should have a Bachelor’s Degree in Law and a minimum of 8 years in Legal or Compliance. Key responsibilities involve managing litigation, preparing legal reports, coordinating Board meetings, and implementing compliance frameworks. This position ensures transparency and accountability within the organization.
Lead and oversee all legal matters including advisory, contract negotiation and regulatory interpretation.
Draft, review and finalize complex commercial contracts (service agreements, procurement contracts, NDA, MoU, JV agreements).
Identify and assess legal risks; propose mitigation strategies to Management and Board.
Manage litigation, disputes, and external counsel, ensuring cost effectiveness and proper case handling.
Ensure all internal policies comply with Malaysian laws (Companies Act, Employment Act, PDPA, MACC Act, etc.).
Prepare legal reports and brief senior management on legal exposures and compliance gaps.
Plan, coordinate and manage Board Meetings, Committee Meetings, AGM/EGM including notices, agenda, board papers, resolutions and minutes.
Maintain and safeguard statutory registers, corporate documents and filing systems.
Ensure timely and accurate SSM submissions (annual return, audited financials, changes of directors, share transactions).
Provide advisory support to the Board on corporate governance standards and statutory responsibilities.
Liaise with auditors, regulators, and corporate stakeholders for statutory matters.
Develop and implement compliance frameworks including ABAC, Whistleblowing, Data Privacy, Code of Conduct and Conflict of Interest.
Conduct internal compliance audits, assessments and reviews.
Manage investigations related to whistleblowing and compliance breaches with confidentiality.
Monitor changes in laws and regulations; prepare compliance updates for management.
Lead and execute compliance training programs across the organisation.
Enhance corporate governance processes aligned with MCCG and international best practices.
Support enterprise risk management including identification, assessment, reporting and mitigation planning.
Provide recommendations to strengthen internal controls and governance structures.
Ensure transparency, accountability, and ethical practices throughout the organisation.
Bachelor’s Degree in Law (LLB).
CLP / ICSA / Licensed Company Secretary is an added advantage.
Minimum 8 years’ experience in Legal, Company Secretarial or Compliance.
Strong experience handling Board meetings, contract drafting and regulatory submissions.
Experience in managing legal risks and compliance frameworks.
Strong knowledge of Companies Act, corporate governance and commercial law.
High attention to detail and strong analytical ability.
Excellent communication and stakeholder management skills.
Strong organisational ability, capable of handling pressure and deadlines.
High integrity and commitment to confidentiality.
