A legal advisory firm in Malaysia is seeking an experienced legal practitioner to provide sound legal advice on construction contracts and corporate transactions. The successful candidate will draft and negotiate contracts while ensuring compliance with statutory obligations. Candidates should have a Bachelor’s Degree in Law and be called to the Malaysian Bar with at least 5–8 years of relevant experience, preferably in construction or property industries.
Provide sound legal advice on all matters related to construction contracts, land acquisition, joint ventures, tenancy, and corporate transactions.
Draft, review, and negotiate a wide range of contracts including construction agreements, consultancy contracts, procurement, and service agreements.
Advise management on potential legal risks and mitigation strategies.
Ensure compliance with statutory obligations, regulatory requirements, and company policies.
Liaise with external lawyers on litigation, arbitration, and dispute resolution matters.
Review project tenders, contract terms, and documentation for risk assessment.
Support the project team in contract administration, claims, variations, and dispute management.
Advise on regulatory requirements related to land development, building approvals, and environmental compliance.
Assist the Board of Directors and management in corporate governance matters.
Prepare and review Board resolutions, meeting minutes, and statutory filings.
Maintain statutory registers and ensure timely submission of required documents to SSM (Suruhanjaya Syarikat Malaysia).
Ensure compliance with the Companies Act 2016 and other relevant regulations.
Support the Company Secretary in meetings and documentation; act as Joint/Alternate Company Secretary if eligible.
Develop and implement internal legal, compliance, and governance policies.
Conduct legal training and awareness programs for internal departments.
Ensure proper documentation management and confidentiality of all legal records.
Bachelor’s Degree in Law (LLB) from a recognized university.
Called to the Malaysian Bar with at least 5–8 years of relevant experience, preferably in construction, land development, or property industry.
Experience in corporate secretarial matters or currently pursuing MAICSA qualification (or eligible for MAICSA membership/license).
Strong understanding of the Companies Act 2016, Construction Industry laws, CIDB regulations, and contract management principles.
Excellent drafting, negotiation, and analytical skills.
Strong interpersonal skills and ability to work with multiple stakeholders.
High level of integrity, discretion, and professionalism.
Exposure to property development, joint venture structures, or EPC contracts.
Familiar with standard construction forms such as PAM, FIDIC, or JKR.
Able to act as Company Secretary upon obtaining MAICSA license
