Overview
Xinyi Energy Smart (M) Sdn Bhd – Jasin, Melaka
Provide legal advice and support on day-to-day legal matters, including business law, corporate governance, regulatory compliance, and general corporate operations.
Responsibilities
- Draft, review, amend, and negotiate various contracts, including procurement, sales, service, cooperation, and other commercial agreements.
- Handle and support anti-dumping related legal matters, including document preparation, compliance review, and coordination with government authorities or relevant agencies during investigations or filings.
- Ensure the Company’s compliance with the Companies Act and other applicable laws and regulations, and monitor changes in the legal and regulatory environment, providing timely advice and risk assessments to management.
- Provide legal support for Xinyi Group’s potential acquisitions, investments, and other strategic transactions, including conducting legal due diligence, drafting and negotiating term sheets and definitive transaction documents, as well as supporting transaction closing and post-closing integration, in accordance with Group Legal requirements and Xinyi Policies & Procedures.
- Maintain and manage statutory records, corporate filings, company secretarial-related documents, and periodic reports in compliance with applicable laws and regulations.
- Provide internal legal and compliance training and guidance to employees to enhance overall legal awareness and compliance standards.
- Liaise and coordinate with external legal counsels, consultants, government authorities, and relevant stakeholders when required.
- Perform other legal-related duties as assigned by the Company.
Requirements
- Possess a Bachelor of Laws (LLB) degree from a reputable university in Malaysia or Singapore, and be admitted as an Advocate & Solicitor of the Malaysian Bar.
- Minimum 2–3 years of relevant working experience, preferably gained from a law firm’s corporate commercial, mergers & acquisitions, compliance, or conveyancing department.
- Strong experience in contract drafting, review, and negotiation, with the ability to independently handle general commercial contracts.
- Sound knowledge of Malaysian laws, regulations, and corporate governance practices, including but not limited to company law, capital markets and compliance matters, employment law, litigation, and personal data protection.
- Experience or exposure to anti-dumping matters or related projects will be an added advantage.
- Strong legal analysis, risk assessment, and problem-solving skills.
- Good command of written and spoken English and Bahasa Malaysia; proficiency in Mandarin for communication and document handling will be an added advantage.
- Proactive, responsible, and able to work independently as well as in a team-oriented environment.
