Job description
SENIOR LEGAL EXECUTIVE

Perform, review and monitor MESRA’s governance functions to ensure compliance with internal and external policies, standards and guidelines, and statutory requirements. Strengthen governance structures and internal controls to uphold accountability, transparency, and integrity across the organization.

Principal Accountabilities
Governance and Compliances

Execute, coordinate and monitor the development and sustainability of MESRA’s governance policies, frameworks, procedures and guidelines. Ensure alignment with PDB and/or PETRONAS standards as well as compliance with legislative and statutory requirements. This includes reviewing and enhancing business procedures, adopting best practices and streamlining procedures to promote a strong governance culture, protect MESRA’s assets and reputation, and support overall business goals and objectives.

Facilitate and enforce the implementation of applicable MESRA procedures and ensure adherence to relevant statutory and regulatory requirements. Monitor compliance with the established Limits of Authority (LOA) to safeguard MESRA interest, uphold corporate integrity and preserve its image and reputation.

Know Your Counterparties (KYC) Fit for Purpose

Collect, evaluate, review and recommend, if deemed fit, new applications for MESRA counterparties including business partners, suppliers, service providers, etc. prior to official appointment and engagement. Coordinate the annual supplier performance review with respective department’s head to ensure accountability, suitability and continued partner reliability.

Contract Review

Review agreements, contractual terms and governance‑related clauses to ensure compliance with company policies, statutory requirements and Critical Legal Areas (CLAs). Act as the liaison with the Legal department to confirm adherence to CLA requirements and ensure that contracts and governance documents align with regulatory and internal standards.

Limits of Authority (LOA)

Coordinate and conduct the periodic review of MESRA’s LOA manual to ensure operational efficiency, effective control and clear decision‑making boundaries. This includes consolidating inputs, validating changes, analysing LOA gaps and recommending enhancements to align with evolving business needs, organisational structure and responsibilities.

Secretariat for MESRA Credit Control Committee (3C)

Compile, monitor, report and organise MESRA 3C meetings, including scheduling, preparing meeting materials, issuing minutes and coordinating with relevant stakeholders. Highlight key long‑outstanding debts and follow up with respective departments to monitor resolution progress and ensure timely collection efforts.

Advisory Services

Provide insights and advisory support on governance and risk‑related matters to ensure alignment with MESRA’s strategic decision and operational goals. Contribute to business value creation by maintaining up‑to‑date knowledge of PETRONAS practices and frameworks, identifying areas of improvement and proactively exploring solutions to enhance internal controls, productivity and long‑term sustainability.

Other Duties & Responsibilities

As and when required, by advice and/or instruction of the Manager, Risk & Governance, MESRA.

Job Requirements

• Candidate must possess at least a Bachelor’s Degree in Law, Business, Finance or any related discipline. • Minimum of 5 years of working experience in a related field. • Proactive, able to drive and function effectively in a dynamic, fast‑paced environment. • Ability to establish collaboration and work with internal cross‑functional team members effectively and productively. • Excellent communication, presentation, critical and analytical thinking skills. • Able to work under tight deadlines in a fast‑paced multi‑tasking environment.
