A healthcare provider is looking for a legal advisor in Malaysia to assist with corporate affairs and legal compliance. The successful candidate will oversee the preparation of commercial agreements and liaise with various stakeholders, ensuring adherence to legal standards. Candidates must possess a Bachelor’s Degree in Law and a minimum of 5 years of experience as advocates or in-house counsel, with strong drafting and negotiation skills.
Assist in legal and corporate affairs for the Group and supports the domestic and overseas operations on legal matters.
Prepare and assist in the drafting, analyzing, preparing and reviewing various commercial and finance agreements including but not limited to acquisition agreements, shareholders’ agreements, non-disclosure agreements, sale purchase agreements, tenancy and loan agreements and all other critical aspects of business for the Group. Provide assistance in legal matters e.g. verification, advisory and legal due diligence matters.
Assist in overseeing, managing and supervising the Group’s secretarial documentation (Malaysia and Overseas) including but not limited to arranging, vetting and circulating AGM packs, minutes of meetings, directors and shareholders’ circular resolution (if any).
Interface with a variety of management levels on legal matters (including daily operational matters), requiring the coordination of activities across functional/operational units.
Liaises with auditors, company secretaries, institutional shareholders, bankers, Board of Directors of Holding Company and/or subsidiaries.
Ensuring compliance of laws and regulations for all operations in the organization.
Bachelor’s Degree in Law and a Certificate in Legal Practice or equivalent.
Minimum 5 years working experience as advocate & solicitors and/or in-house corporate legal counsel.
Experience in relevant legal areas such as corporate, commercial, banking documentation, litigation and conveyancing.
Strong command of English both written and spoken and possesses strong drafting skills.
Articulate with excellent interpersonal and negotiation skills.
A team-player and is committed to work; who is driven, proactive, organized, resourceful and can work independently with minimum supervision.
