Job description

FCS is in the market for an experienced and competent Company Secretary Assistant.

The ideal candidate should have years of experience in the same or similar role.

It would be an advantage if the candidate is a Chartered Secretary qualification or has a law or business graduate.

Main Duties
  • Attendance of meetings and minute taking;
  • Drafting minutes, resolutions and matters arising;
  • Obtain appropriate responses and feedback to specific agenda items and matters arising from earlier meetings (Board and committee);
  • Ensure that resolutions and decisions from the Board and Committees are communicated promptly to the relevant persons within the client's organisation;
  • Ensure that resolutions are actioned promptly the day after the meeting.
  • Plan and design the Board and Committee meeting agenda;
  • Prepare meeting packs in consultation with the Lead Consultant;
  • Ensure minutes and resolutions are prepared and delivered within agreed deadlines;
  • Ensure meeting packs are distributed within agreed deadlines;
  • Update company records with the CIPC – Director changes, Annual Returns etc;
  • Prepare annual calendars in consultation with Lead Consultant;
  • Prepare Board and Committee work plans in consultation with Lead Consultant;
  • Set up meetings in outlook following approval of the annual calendar and ensure that all supposed to attend are invited;
  • Inform relevant staff of Board and Committee meetings;
  • Ensure that previous minutes are signed at the next meeting and filed or pasted into the minute book;
  • Ensure that electronic copies of all minutes, resolutions, attendance registers and directors declarations of interest are obtained and placed on file;
  • Review of governance documents in consultation with Lead Consultant;
  • Proper maintenance of minute books / books and registers of clients;
General
  • Administration work relating to project updates and assignments
  • Ensure that all important information is shared with your supervisor and other team players;
  • Carry out ad-hoc assignments as directed by FCS;
  • Responsible for all other tasks that may be delegated to the incumbent from the desk of the CEO;
  • General filing.
  • Assist with IT related matters where applicable.
