Senior Manager, Legal & Company Secretarial
Join our dynamic and expanding organization as we strengthen our Legal & Company Secretarial functions. We are looking for an experienced and driven professional to lead and oversee corporate governance, legal compliance, and secretarial operations across the Group.
Key Responsibilities
- Provide strategic legal advice to management and business units.
- Ensure the Group complies with all relevant laws, regulations, and internal policies.
- Draft, review, and negotiate legal documents, contracts, and agreements.
- Oversee legal risk management and implement appropriate mitigation measures.
- Manage and coordinate Board of Directors and committee meetings.
- Prepare board papers, agendas, and minutes, ensuring accuracy and confidentiality.
- Ensure the Group’s corporate governance framework aligns with statutory and listing requirements.
- Oversee statutory filings and ensure timely submission to SSM and relevant authorities.
- Maintain corporate records, registers, and statutory documents for all entities within the Group.
- Lead secretarial support for corporate exercises, restructuring, due diligence, and IPO readiness (if applicable).
- Liaise with external legal advisors, auditors, regulators, and government agencies.
- Build strong working relationships with internal stakeholders, supporting business decision-making with legal insights.
- Lead, coach, and supervise the Legal & CoSec team.
- Enhance departmental processes, policies, and compliance frameworks.
Requirements
- Bachelor’s Degree in Law (LL.B.), ICSA/MAICSA qualification, or equivalent professional credentials.
- Minimum 8 years of relevant experience in corporate legal, company secretarial, and governance roles.
- Strong understanding of the Companies Act, corporate governance standards, and regulatory frameworks.
- Excellent drafting, communication, and stakeholder management skills.
- Strategic thinker with proven leadership capability and high attention to detail.
- Able to work independently, manage complex tasks, and support senior management effectively.
