At PwC, our people in deals focus on providing strategic advice and support to clients in areas such as mergers and acquisitions, divestitures, and restructuring. They help clients navigate complex transactions and maximise value in their business deals.
Responsibilities
- Provide financial due diligence, vendor assistance, negotiation support and deal structuring for mergers and acquisitions (M&A) transactions within and outside Malaysia for both corporate and private equity clients.
- Quickly develop an understanding of the target business and its drivers.
- Interpret and analyze information memoranda, business plans, publicly available information on the target business.
- Review and analyze historical trading, cash flow and balance sheets.
- Review and analyze projections and underlying assumptions.
- Review adequacy of working capital facilities, including consideration of financing limits, term and covenants.
- Evaluate potential synergies.
- Report potential key issues to the client, including identification of risk or price affecting considerations.
- Review sale and purchase agreements and correlate findings to the due diligence process.
- Review financial structures and associated credit agreements.
Qualifications
- 3-4 years of working experience in financial due diligence or external audit.
- Degree in any discipline and/or a professional accounting qualification such as ICAEW, ACCA, MICPA, or CPA Australia.
- Strong analytical skills and an ability to understand key business drivers.
- Strong leadership, teamwork and client servicing skills.
- Excellent communication skills in both oral and written English.
