Job Purpose

To support the company's legal, compliance, and corporate governance functions at the corporate level. The role ensures that all business operations, contracts, and corporate activities adhere to legal, regulatory, and internal governance standards, while safeguarding the company's interests and promoting ethical and transparent business practices.

Key Responsibilities
Legal & Contract Administration
  • Review, draft, and manage commercial contracts, vendor agreements, NDAs, and other legal documents to ensure compliance with applicable laws and company policies.
  • Support tender documentation and contract lifecycle management, including renewals, variations, and terminations.
  • Liaise with external counsel and internal departments to provide legal and contractual support for projects and corporate matters.
  • Maintain accurate records of executed agreements, legal correspondences, and approvals.
Compliance & Regulatory Management
  • Assist in implementing and monitoring the company\'s compliance framework, policies, and programs, particularly in relation to anti-bribery, data protection, and ethical business conduct.
  • Ensure timely filings and renewals of licenses, permits, and statutory documents required under Malaysian regulations and PETRONAS requirements.
  • Conduct internal compliance checks and coordinate responses to regulatory audits or inspections.
  • Prepare compliance reports and updates for management review.
Corporate Governance
  • Support the preparation of Board and Committee meetings, including scheduling, compiling meeting packs, and drafting minutes and resolutions.
  • Maintain and update statutory records such as registers, shareholding structures, and directors\' interests in compliance with the Companies Act.
  • Ensure corporate secretarial documentation is up to date and compliant with SSM and Bursa Malaysia (where applicable).
  • Assist in developing and implementing governance frameworks and internal controls across the organization.
Policy & Documentation Control
  • Draft, update, and maintain internal policies, SOPs, and governance documents to align with corporate standards and evolving regulations.
  • Support internal policy dissemination and staff awareness sessions related to legal, compliance, and governance topics.
  • Monitor regulatory changes and assess potential impacts on company operations.
Corporate Advisory Support
  • Provide day-to-day advisory support to management and departments on contractual, compliance, and governance-related matters.
  • Support cross-functional initiatives related to ethics, sustainability, and corporate reporting.
  • Ensure confidentiality and professional handling of sensitive corporate information.
Qualifications & Requirements
  • Bachelors degree in Law, Business Administration, Corporate Governance, or related discipline.
  • 2–5 years of experience in legal, compliance, or corporate governance within the oil & gas, energy, or engineering industry.
  • Good knowledge of Malaysian corporate law, Companies Act 2016, and industry regulations (e.g., PETRONAS, DOSH, DOE, ISO, ABAC).
  • Strong communication, drafting, and analytical skills.
  • High level of integrity, attention to detail, and discretion in handling confidential information.
