Job description

We are seeking a highly meticulous and professional fresh graduate to join our firm as an Associate in Corporate Secretarial/ Insolvency. This role is foundational to a career in corporate compliance and specialized legal support, focusing primarily on the statutory needs of our diverse portfolio of private Sdn. Bhd. clients across sectors including service, construction, and retail.

The successful candidate will receive direct, on-the-job training from the Partner, with a clear path toward professional qualification as a Licensed Company Secretary. While the immediate focus is on corporate compliance, the role will also involve developing specialized knowledge in individual insolvency and voluntary arrangement procedures, including court documentation and filing.

Key Responsibilities
  • The Associate will ensure strict statutory compliance for a wide range of clients under the Companies Act 2016 (CA 2016) by performing the following:
  • Statutory Compliance & Filings: Prepare and electronically lodge all statutory documents, resolutions, annual returns, and financial statements via the Suruhanjaya Syarikat Malaysia (SSM) MyCoID Portal, MBRS, -BOs and related e-filing systems in a timely manner.
  • Board Support & Meetings: Assist in preparing meeting agendas, notices, resolutions, and minutes for Directors' and Members' meetings, ensuring all decisions, particularly those requiring a solvency statement, adhere to the CA 2016.
  • Beneficial Ownership (BO) Compliance: Implement and maintain the mandatory BO reporting framework, which involves issuing statutory notices to clients, maintaining the Register of Beneficial Owners (RBO), and ensuring accurate submission to SSM.
  • Records Management: Meticulously maintain and update all physical and electronic statutory registers (including Register of Members, Directors, and RBO) using the designated cloud-based secretarial software (Officio).
  • Advisory: Assist the Partner in advising clients on fundamental corporate governance matters, changes to the CA 2016, and compliance with anti-corruption/anti-money laundering principles (AMLA/MACC Act).
Individual Insolvency Support (Approx. 20% Focus)

The Associate will receive training and be responsible for supporting specialized insolvency tasks:

  • Documentation & Lodgement: Assist in the preparation of legal documents and relevant court forms for Individual Voluntary Arrangement (IVA) and bankruptcy cases.
  • Filing: Handle the correct and timely lodgement of insolvency-related applications and reports with the relevant courts and the Insolvency Department.
Requirements
Education & Qualification
  • Bachelor's Degree in Law, Accounting, Corporate Administration, Business Administration, or a related field.
  • A strong commitment to pursuing professional qualifications such as MAICSA, MIA, or a Licensed Liquidator qualification is highly regarded.

  • Communication: Must be proficient and articulate in both written and spoken English and Bahasa Malaysia, with the ability to confidently communicate and explain complex legal requirements to clients.
  • Digital Proficiency: High proficiency in Microsoft Word (document formatting and drafting) is essential, along with a strong aptitude for mastering the Officio cloud-based secretarial software and SSM's e-filing systems.
  • Integrity: High degree of professional integrity and confidentiality, particularly when handling sensitive financial and client information.
