A leading company in Malaysia is seeking a qualified legal professional to manage and oversee legal matters, review contracts, and coordinate with external solicitors. The role requires expertise in corporate and commercial law, along with strong skills in litigation and corporate banking. Candidates should possess a law degree and relevant legal qualifications, with the ability to provide guidance to management and keep stakeholders informed. This position provides a pivotal role in ensuring legal compliance and organizational integrity.
The incumbent is responsible to lead, advice, overseeing and managing the legal matters within Johawaki Holdings Sdn Bhd and its subsidiaries.
To review and advises on all corporate and commercial contracts entered by JHSB and its group of companies including but not limited to Joint Venture Agreement (JVA), Sale and Purchase Agreement (S&P), Development Right Agreement, Shareholders Agreement, Non Disclosure Agreement, Service Agreement, Settlement Agreement & Power of Attorney, Trust Deed, Tenancy Agreement, Property Management Agreement, Share Sale & Purchase Agreement, Letter of Award , Corporate Guarantees and Sub-Contracts of the project.
To oversee and advises on the Corporate Banking matters including reviewing and vetting banking documentations including but not limited to Loan Agreement, Facilities Agreement, Charge, Loan Agreement cum Assignment, Deed of Assignment & Power of Attorney.
To defend and advise the Management on any legal suit against JHSB and its group of companies including initiating the counterclaim action (if any).
To co-ordinate and liaising with the external solicitors on pre-trial documents (preparation of cause paper, court affidavits, statutory declaration) and organizing witness' attendance in court for trial.
To attend and oversee the court, arbitration and tribunal proceedings and other matters which requires the attendance of a legal representative and advise the Management on the outcome of the proceeding.
The incumbent will be responsible in being the key person and also managing and working closely with the external solicitors for Johawaki Group of Companies and monitor their work.
To ensure that organizational legal is managed properly, efficiently and that the relevant and respective stakeholders are shared and given proper advice and guidance.
The incumbent will ensure that the Management and the Board are provided updates and reports on a monthly basis and in designated portal on a regular basis, and whenever necessary.
To ensure the interest and confidentiality of the Group is protected at all times.
To act as a liaison officer between the statuary bodies and the governmental organization, (i.e: Courts, Land Offices, Inland Revenue and etc).
To conduct awareness programme among the Group in terms of new laws, information, procedures, rules and regulations from time to time.
To monitor the filing and documentations of the Company's documents in the company's drive, as well as final documents in Documents Management System (OMS) and monitor the filing updates in files from time to time.
Preparing and monitoring legal budgets (i.e. legal fees).
To design, update, review and implementing the unit's policies & procedures.
Preparing, monitoring and reviewing the list of panel solicitors of Johawaki Group of Companies and taking the initiative to improve the efficiency and operation of Legal Unit.
Undertakes special assignments, ad hoc functions and related duties which may be assigned by the management from time to time.
Provide relevant trainings from time to time or whenever it is necessary
