Job Description
Corporate Legal & Contractual Matters

Coordinate, review, and assist in the drafting of commercial and corporate contracts, including but not limited to:

  • EPC, EPCC, supply, O&M, consultancy, and service agreements
  • Letters of Award, Letters of Intent, MOUs, NDAs
  • Power purchase–related agreements and ancillary documents
  • Shareholders’ agreements, subscription agreements, SPAs, and investment term sheets

Perform first-level legal review of contracts to identify key commercial, legal, and risk issues for management consideration.

Ensure contract terms are aligned with approved commercial positions, internal policies, and risk appetite.

Liaise with external legal counsels on:

  • Contract finalisation
  • Corporate exercises
  • Dispute prevention and resolution matters

Track contract execution, validity periods, obligations, milestones, and key risk clauses.

Company Secretarial & Corporate Governance Support

Assist in coordinating company secretarial matters with external company secretaries, including:

  • Statutory filings
  • Board and shareholders’ resolutions
  • Maintenance of corporate registers and records

Prepare and review draft board papers, resolutions, circulars, and corporate announcements for management review.

Support corporate governance compliance under the Companies Act 2016 and relevant regulatory requirements.

Monitor deadlines for statutory submissions and ensure timely completion.

Business Acquisition & Corporate Exercise Support

Provide legal and corporate support in business acquisitions, investments, and restructuring exercises, including:

  • Preliminary legal due diligence coordination
  • Review of acquisition documentation and term sheets
  • Support in negotiations from a legal and commercial risk perspective
  • Coordinate internal and external stakeholders during M&A, joint venture, or investment transactions.
  • Maintain transaction documentation records and ensure orderly completion of closing requirements.
  • Coordinate preliminary land search and screening for potential project development or investment opportunities, including identification of suitable sites based on high-level commercial, legal, and regulatory considerations.
  • Liaise with landowners, agents, consultants, and internal teams to obtain preliminary information on land status, tenure, zoning, encumbrances, and development feasibility.
  • Assist in coordinating initial land due diligence, including:
    • Land title review (tenure, ownership, restrictions, charges)
    • Land use and zoning status
    • Regulatory and planning considerations
    • Interface with surveyors, planners, and external advisors where required
  • Compile and summarise land-related findings for management review to support decision-making on potential acquisitions or project development.
  • Maintain proper documentation and records relating to land search activities and preliminary assessments.
Regulatory, Compliance & Risk Coordination

Assist in monitoring legal and regulatory requirements relevant to the Group’s operations, including:

  • Energy, infrastructure, and corporate regulations
  • Contractual compliance obligations

Maintain a legal and compliance register covering key contractual and statutory obligations.

Flag potential legal, contractual, or compliance risks to management in a timely manner.

Support internal risk assessment and mitigation planning related to contracts and corporate matters.

Management & Director Support

Act as a key support function to the Director and management in managing:

  • Legal documentation
  • Contractual correspondence
  • Corporate matters requiring coordination across departments

Prepare summaries, briefing notes, and risk highlights for management decision-making.

Follow up on action items arising from management or board meetings related to legal and corporate affairs.

Internal Coordination & Process Improvement

Coordinate with finance, project, engineering, and commercial teams to ensure:

  • Contractual consistency
  • Proper documentation flow
  • Alignment between commercial intent and legal documentation

Assist in developing and maintaining:

  • Standard contract templates
  • Internal legal and contract review procedures

Support continuous improvement of corporate governance and legal documentation practices.

Environmental, Social & Governance (ESG) Compliance

Assist in coordinating and monitoring the Group’s ESG‑related policies, practices, and compliance obligations in line with applicable regulatory, lender, and stakeholder requirements.

Support the implementation and maintenance of ESG frameworks, including governance structures, internal policies, and reporting processes.

Coordinate ESG‑related documentation, data collection, and disclosures required for:

  • Project financing and lender requirements
  • Investor, shareholder, and stakeholder reporting
  • Regulatory or authority submissions where applicable

Assist in reviewing contracts, project documentation, and corporate policies to ensure appropriate ESG-related clauses and commitments are incorporated where required.

Monitor ESG-related compliance risks and flag potential gaps or issues to management for timely mitigation.

Liaise with internal departments, consultants, and external advisors on ESG matters, including environmental compliance, social safeguards, and governance standards.

Maintain proper records and documentation supporting ESG compliance and initiatives undertaken by the Group.

Authority & Limitations

The role provides legal and contractual support only and does not:

  • Act as a practising lawyer or advocate
  • Provide legal opinions in lieu of qualified external counsel
  • Execute contracts without authorised signatory approval

  • Director / Board approval
  • External legal advice where required
Requirements
  • Bachelor’s Degree in Law (LLB) or equivalent legal qualification
  • Minimum 5 years’ experience in corporate legal, contracts, or corporate affairs roles
  • Strong familiarity with commercial contracts and corporate documentation
  • High level of confidentiality, attention to detail, and professional judgement
  • Excellent communication and presentation skills, with ability to prepare clear reports and liaise effectively.
  • Strong initiative, commercial awareness, and ability to work under pressure in a fast‑paced environment.
  • Team player with a collaborative mindset and willingness to support senior management in critical tasks.
