Job summary

A financial corporation in Malaysia is seeking an experienced professional to assist the General Counsel & Company Secretary. Responsibilities include providing advisory on corporate governance, maintaining statutory registers, and coordinating with shareholders. The ideal candidate should have a relevant degree and 5-7 years of related experience, with strong analytical skills and a command of both English and Bahasa Malaysia.

Qualifications

Responsibilities

  • Act as official liaison secretary for Board Oversight Committees.

Job description

Job Summary: To assist the General Counsel & Company Secretary (GC&CS) in ensuring the operations and functions of Company Secretarial Unit under the Legal & Company Secretarial Department in Credit Guarantee Corporation Malaysia Berhad (CG) are delivered effectively and efficiently to its stakeholders.

Responsibilities
  • Act as the official liaison secretary for secretary-ship of Board Oversight Committees as determined by GC&CS and providing advisory to promote governance and best practices in the Corporation with Management team and member of the Board.
  • Provide in-house secretarial services in managing and administering secretarial practices and corporate secretarial requirements in accordance with applicable rules and regulations.
  • Advise the members of the sub-Board Committee and Management on corporate governance matters.
  • Prepare meeting documents, on-time generation of minutes of meetings and circular resolutions in relation to the assigned meetings.
  • Prepare pre and post Board of Directors meetings, general meetings and internal management meetings, as and when necessary.
  • Prepare Board meeting papers on corporate governance and secretarial matters.
  • Maintain statutory registers including register of members, register of directors, managers and secretary, and register of directors’ shareholdings, debentures and interests (i.e. interests in shares and debentures).
  • Maintain the Reporting Register consisting of all documents and reports filed to Bank Negara Malaysia, relevant government agencies and any other regulatory bodies.
  • Responsible for filing and lodging information with the Companies Commission of Malaysia, report certain changes regarding and ensure compliance with requirements for periodic filing e.g. Annual Returns and audited financial statements and accounts.
  • Coordinate and communicate with shareholders on issues relating to their rights, and other matters affecting shareholdings and dealing with any queries and request from shareholders.
  • Perform duties as Assistant Risk Coordinator for Legal & Company Secretarial Department.
Job Requirements

Qualification: Candidate must possess at least a Bachelor’s Degree, Professional Degree, Master’s Degree, Doctorate (PhD) in Law, Corporate Secretarial, Corporate Administration, Corporate Governance or equivalent. Preferably Professional secretarial qualification/license holder; ICSA graduate or MAICSA associate.

Experience: Minimum 5 to 7 years of working experience in related field.

Knowledge
  • Technical knowledge on the relevant statutory laws and company secretarial best practices and guidelines.
  • Well versed in Companies Act 2016, Financial Services Act 2013, Development Financial Institutions Act 2002, Malaysian Code of Corporate Governance, Bursa Malaysia’s Main Market Listing Requirements and Corporate Governance Guide, Bank Negara Malaysia’s Corporate Governance Policy and other related laws and regulations.
