The incumbent will play a pivotal role in assisting the Company Secretary to ensure the compliance with statutory and regulatory requirements, corporate governance, and effective board administration. The incumbent will work closely with the Company Secretary to liaise with senior management team and board of directors, providing expert advice, managing legal and governance matters, and contributing to the smooth functioning of the organization.
- Ensure compliance with statutory and regulatory requirements, including but not limited to the Companies Act, and Bank Negara Malaysia regulations.
- Serve as the primary point of contact for all board-related matters, liaising with directors, shareholders, and external parties as necessary.
- Plan and manage board meetings, including preparing agendas, coordinating meeting logistics, and ensuring accurate recording of minutes.
- Maintain an up-to-date knowledge of corporate governance best practices and industry trends, recommending improvements to the board structure, composition, and governance policies.
- Prepare and file statutory returns, resolutions, and other required documentation in a timely and accurate manner.
- Provide advice and guidance to the senior management team and board on corporate governance, regulatory compliance, and legal matters.
- Oversee the company's corporate secretarial function.
- Collaborate with internal stakeholders, such as legal, risk, compliance, and finance departments, to ensure alignment and adherence to corporate governance standards.
- Monitor changes in relevant laws and regulations, assess their impact on the organization, and implement necessary updates to policies and procedures.
- Maintain proper records and documentation, ensuring confidentiality and security of sensitive information.
- Foster a culture of compliance, ethical behavior, and professionalism within the organization.
Requirements
- Bachelor's degree in Law, Business Administration, or a related field. A professional qualification such as ICSA (Institute of Chartered Secretaries and Administrators) would be advantageous.
- Proven experience as a Company Secretary or Assistant Company Secretary within a bank, financial institution, or listed company in Malaysia.
- Thorough knowledge of corporate governance principles, statutory requirements, and regulatory frameworks applicable to financial institutions.
- Excellent understanding of the Companies Act, BNM Corporate Governance, Bursa Malaysia listing requirements, and other relevant laws and regulations.
- Strong interpersonal and communication skills, with the ability to interact effectively with board members, senior management, and external stakeholders.
- High level of professionalism, integrity, and discretion in handling confidential and sensitive information.
- Meticulous attention to detail, strong organizational skills, and the ability to manage multiple priorities within tight deadlines.
- Proficiency in relevant computer applications and corporate secretarial software.
- Ability to work independently and as part of a team, demonstrating leadership and mentoring skills.
- Fluency in English and Bahasa Malaysia, both written and spoken.
- Proficiency in MS Office (Words, Excel and PowerPoint).
