Develop and execute the company’s merger and acquisitions (M&A) strategy in alignment with long‑term corporate objectives, ensuring that all acquisition, divestiture, and partnership activities contribute to the company’s strategic vision, financial goals, and market expansion plans. Continuously refine the M&A approach based on evolving industry trends, competitive dynamics, and regulatory considerations.

Identify, analyze, and evaluate potential acquisition targets, divestitures, and strategic alliances by conducting thorough industry research, competitive benchmarking, and financial assessments. Leverage data‑driven insights and market intelligence to pinpoint opportunities that enhance the company’s market position, technological capabilities, operational efficiencies, and overall growth trajectory.

Lead the end‑to‑end execution of M&A transactions, overseeing all critical aspects of the deal lifecycle, including financial modeling, valuation analysis, risk assessment, due diligence, negotiations, and deal structuring. Coordinate cross‑functional teams, including finance, legal, operations, and human resources, to ensure seamless integration planning and post‑merger value realization.

Collaborate closely with executive leadership, board members, and key stakeholders to define investment priorities, establish clear target selection criteria, and align M&A initiatives with the company’s overall strategic roadmap. Present findings, recommendations, and business cases for potential deals, providing comprehensive analysis and justifications to support informed decision‑making.

Build and maintain strong relationships with investment banks, financial advisors, industry analysts, and potential business partners to proactively source new opportunities, gain market intelligence, and enhance the company’s access to high‑value transactions. Actively engage in networking and industry forums to identify emerging trends and stay ahead of market shifts.

Ensure compliance with regulatory requirements and corporate governance best practices throughout the M&A process, mitigating risks and safeguarding the company’s interests. Drive a disciplined approach to transaction execution, ensuring transparency, due diligence, and ethical business practices in all deal‑making activities.

Due Diligence & Business Analysis

Oversee comprehensive due diligence processes that encompass financial, legal, operational, regulatory, and strategic evaluations. Conduct in‑depth analysis of target companies, identifying key risks, opportunities, and synergies to support informed decision‑making. Coordinate with internal teams and external advisors to ensure thorough assessments of financial statements, tax implications, intellectual property, compliance matters, and operational capabilities. Present due diligence findings to senior leadership with actionable recommendations to guide deal structuring and integration planning.

Engage with and manage relationships with external advisors, including investment banks, legal firms, auditors, and consultants, to facilitate transaction execution and ensure best‑in‑class advisory support. Lead discussions with external parties to negotiate favourable deal terms, resolve potential roadblocks, and drive a smooth transaction process. Maintain strong relationships with financial institutions and industry experts to stay informed on market trends, deal opportunities, and regulatory developments that may impact the company’s M&A strategy.

Financial & Business Analysis

Develop financial models and conduct in‑depth valuations to assess potential transactions using a variety of industry‑standard methodologies, including Discounted Cash Flow (DCF) analysis, comparable company analysis, and precedent transaction analysis. Build dynamic financial models that incorporate revenue projections, cost structures, synergies, and risk assessments to ensure accurate valuation and decision‑making. Continuously refine modelling techniques to reflect changing market conditions, business performance metrics, and strategic objectives.

Evaluate the financial and operational impact of potential acquisitions, divestitures, and strategic partnerships by conducting comprehensive scenario analyses, sensitivity testing, and risk assessments. Analyse key financial metrics such as revenue growth potential, profitability, cash flow implications, return on investment (ROI), and cost synergies to determine the viability and value creation potential of each transaction. Work closely with internal finance, strategy, and operations teams to ensure that proposed deals align with the company’s long‑term financial goals and operational capabilities.

Develop and execute comprehensive integration plans to ensure seamless post‑acquisition transitions, maximising synergies while minimising operational, financial, and cultural risks. Define clear integration strategies that align with the company’s long‑term objectives, focusing on areas such as organisational structure, technology alignment, financial consolidation, customer retention, and operational efficiencies. Establish key performance indicators (KPIs) and milestones to track the success of the integration process and drive value creation.

Collaborate cross‑functionally with leadership teams and key stakeholders across finance, operations, human resources, IT, sales, and marketing to facilitate a smooth transition. Foster alignment between the acquiring and acquired organisations by addressing potential cultural differences, streamlining business processes, and ensuring effective communication. Develop change management strategies to support employees, mitigate disruptions, and maintain business continuity throughout the integration period.

Continuously monitor post‑deal performance by analysing financial results, operational efficiencies, customer feedback, and employee engagement metrics to assess whether the acquisition is delivering its intended benefits. Identify potential challenges or areas of underperformance and provide strategic recommendations for adjustments. Implement corrective actions when necessary to optimise synergy realisation and ensure that the acquisition contributes to the company’s overall growth and profitability. Regularly report on post‑merger progress to executive leadership, providing data‑driven insights and strategic recommendations.

Stakeholder Management & Leadership

Work closely with internal stakeholders across multiple departments, including Finance, Legal, Human Resources (HR), and Operations, to ensure that all mergers and acquisitions (M&A) activities align with the company’s strategic goals, financial objectives, and operational capabilities. Coordinate with Finance teams to assess financial feasibility and capital allocation strategies, engage with Legal teams to ensure regulatory compliance and contract structuring, collaborate with HR to manage workforce integration and cultural alignment, and partner with Operations to facilitate seamless business continuity and process optimisation post‑transaction. Establish clear communication channels and workflows to ensure cross‑functional alignment throughout the M&A lifecycle.

Engage proactively with regulators, government agencies, and industry associations to ensure all transactions comply with legal, financial, and operational regulations. Stay informed on changing regulatory landscapes, industry‑specific laws, and compliance requirements that may impact deal structuring, approvals, and post‑merger operations. Work with external legal advisers to navigate complex regulatory frameworks, secure necessary approvals, and mitigate potential risks related to antitrust laws, tax regulations, and labour policies. Act as a key liaison between the company and government entities to foster positive relationships and maintain a strong corporate reputation.

Cultivate and maintain strong relationships with investors, target companies, and potential strategic partners to identify new opportunities for growth, joint ventures, and future acquisitions. Develop deep industry connections by actively networking with venture capital firms, private equity investors, financial institutions, and corporate executives to stay ahead of emerging trends and competitive dynamics. Lead discussions with target companies and their leadership teams to build trust, assess strategic fit, and negotiate mutually beneficial deal terms. Represent the company at industry events, investor meetings, and corporate forums to enhance visibility and strengthen the organisation’s position in the market.

Requirements
  • Bachelor’s degree in Finance, Economics, Business Administration, or related field (MBA preferred).
  • Minimum 12‑15 years of experience, with a strong track record in M&A, corporate finance, or investment banking.
  • Proven experience in executing high‑value M&A transactions, preferably in the energy, infrastructure, or utilities sector.
