Job summary

Job Description & Summary

At PwC, our people in legal services offer comprehensive legal solutions and advice to internal stakeholders and clients, maintaining compliance with regulations and minimising legal risks. These individuals provide strategic guidance and support across various industries.

In company secretarial and governance at PwC, you will provide advice and support on corporate governance, compliance, and regulatory matters to enable effective decision-making and transparency within the organisation. Your work will involve maintaining legal and ethical standards for the company.

Responsibilities
  • Responsible for overall operational effectiveness of the unit by initiating process reviews and improvements.
  • Manage portfolio of clients, including attending clients’ board and member meetings, incorporation of companies, registration of foreign branches / representative offices, members’ voluntary winding‑up, striking‑off, etc.
  • Collaborate efficiently with PwC counterpart in managing global client requests and standards, ensuring alignment and consistency throughout PwC's operations.
  • Prepare directors’ resolutions, members’ resolutions, notices, discussion papers and minutes of meetings.
  • Prepare statutory returns for submission to the Companies Commission of Malaysia.
  • Update statutory records.
  • Provide advice to clients on corporate secretarial matters in relation to statutory requirements, in accordance with the Companies Act 2016 (CA 2016), Constitution and any other relevant regulations, including assisting with transactions, governance and compliance related matters.
  • Attend meetings / discussions with clients (together with junior / senior); liaise with third parties, such as bankers, auditors, CCM officers, tax agents, etc.
  • Manage clients’ deliverables to ensure that timelines are met.
  • Manage onboarding processes and risk management activities for both new and existing corporate clients and their key officers, ensuring adherence to PwC’s policies and the CA 2016 requirements.

Requirements
  • Preferably holds an ICSA qualification or equivalent.
  • Minimum of 4 years’ experience in company secretarial practice.
  • Possess a high degree of professionalism and integrity, ability to communicate with various levels of management and keen to work in consulting and client‑facing environment.
  • Excellent command of both oral and written English.
  • Ability to guide, mentor, and coach junior team members.
  • The role may require you to visit clients to provide advice and carry out the work.
