We are seeking a qualified and experienced Legal Counsel with a minimum of six (6) years Post-Qualification Experience (PQE), called to the Bar, to join our legal team. The successful candidate will provide strategic and practical legal support across a wide range of matters, with emphasis on capital markets, corporate exercises, mergers & acquisitions (M&A), and advisory work.
The role requires a commercially minded lawyer who can balance legal risk management with enabling business objectives, and who is comfortable working on complex, cross-border corporate and financing transactions.
Key Responsibilities
- Advise on structuring and execution of IPOs, rights issues, private placements, corporate reorganisations, and other securities offerings.
- Ensure compliance with listing requirements, securities regulations, and guidelines issued by relevant regulators.
Mergers & Acquisitions (M&A)
- Draft, review, and negotiate share purchase agreements, joint venture agreements, shareholder agreements, and related transaction documents.
- Conduct and manage legal due diligence exercises and coordinate with external counsel where necessary.
- Provide legal advice on corporate governance, directors’ duties, and regulatory obligations.
- Draft, review, and negotiate a broad range of commercial agreements (including financing agreements, advisory mandates, service contracts, etc.).
Regulatory & Compliance
- Monitor and advise on relevant changes in securities law, corporate law, and regulatory developments.
- Liaise with regulators, exchanges, and other authorities on corporate submissions and compliance matters.
- Assess and mitigate legal risks associated with corporate and investment activities.
- Support the management of disputes and potential litigation, including coordination with external counsel.
Requirements
- Bachelor of Laws (LLB) degree from a recognised institution.
- Must be admitted to the Bar and in good standing.
- Minimum of 6 years PQE (with substantial experience in capital markets, corporate exercises, advisory, and M&A).
- Strong transactional experience, with exposure to cross-border deals considered an advantage.
- Solid knowledge of securities regulation, corporate law, and governance frameworks.
- Excellent drafting, negotiation, and problem-solving skills.
- Strong stakeholder management and communication skills with the ability to work effectively with business teams, regulators, and external counsel.
- Ability to work independently, handle multiple priorities, and provide sound, business-oriented legal advice under tight timelines.
