Overview
We are seeking an experienced, detail-oriented, and strategic Head of Company Secretarial to lead and manage all corporate secretarial functions of our public listed company. The successful candidate will serve as the principal advisor to the Board of Directors on governance matters, ensure full compliance with regulatory requirements, and oversee all statutory obligations in accordance with the Companies Act 2016, Bursa Malaysia Listing Requirements, and other relevant laws and guidelines.
Responsibilities
- Board, Committee, and Shareholder Meetings – Coordinate, prepare, upload/distribute meeting papers; attend meetings as required; accurately record minutes; and promptly communicate key decisions and directives to relevant parties for follow-up actions.
- Governance Advisory & Support – Provide quality corporate secretarial and governance advisory services to the Board, its committees, and senior management, ensuring alignment with best practices and regulatory requirements.
- Governance Policies & Initiatives – Draft, review, and implement governance-related initiatives, policies, and procedures across the Group.
- Regulatory Compliance – Ensure full compliance with the Companies Act 2016, Bursa Malaysia Listing Requirements, and other applicable regulations, including timely and accurate submissions, announcements, and disclosures.
- Corporate Communications – Draft and review announcements, circulars to shareholders, annual report sections, directors’ and shareholders’ resolutions, and other corporate documentation.
- Liaison with Stakeholders – Serve as the point of contact with regulatory authorities, share registrars, auditors, and other professional parties on corporate secretarial matters.
- Statutory Records Management – Oversee the proper maintenance, control, and safekeeping of statutory registers, records, and corporate documents.
- Corporate Exercises & Due Diligence – Manage and review due diligence processes, compile statutory information, and support corporate exercises such as mergers, acquisitions, and other strategic transactions.
- Licenses & Certifications – Oversee the management and renewal of all Group licenses and certificates (e.g., ePerolehan, MOF, CIDB, etc.).
Requirements
- In-depth knowledge of the Companies Act 2016, Bursa Malaysia Listing Requirements, and relevant securities laws and regulations.
- Strong leadership skills with the ability to manage a team and work with diverse stakeholders.
- Exceptional attention to detail, organisational skills, and ability to manage multiple priorities under tight deadlines.
- Excellent communication and interpersonal skills, with the ability to draft and present clear, concise, and accurate documents.
- High level of integrity, confidentiality, and professionalism.
Qualifications
- A member in good standing of the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) or equivalent professional body.
- Bachelor’s Degree in Law, Business Administration, Corporate Governance, or a related discipline.
- Minimum 10 years of corporate secretarial experience, including at least 5 years in a leadership role within a public listed company.
- Proven track record in managing Board and shareholder matters, corporate exercises, and governance compliance in a PLC environment.
