Job Title: Buyside Contracting Counsel Associate Manager
Job Responsibilities:
- Provide comprehensive legal support to Procurement and Business teams, including drafting, reviewing, negotiating, and executing contracts, NDAs, and other relevant procurement documents in accordance with company policies, procedures, applicable laws, and customer requirements.
- Drive the creation, standardization, maintenance, and continuous improvement of standard contract templates and procedures for complex buyside deals, adapting to changing laws and company policies.
- Develop specialized subject‑matter expertise in support areas to address potential risks or issues seamlessly.
- Collaborate with functional leads and sub‑leads to strategize and develop additional capabilities and create efficiencies within the team.
- Manage team performance‑related aspects, supervise the management of SharePoint and communication records, and ensure the creation of checklists and other process documents.
- Conduct audits of team members’ work, report gaps to leadership, and ensure these gaps are addressed.
- Understand and ensure compliance with the company’s approval processes, Code of Business Ethics, Data Privacy, Information Security, Anti‑Corruption Laws, and related policies.
- Create and develop training materials for the team and internal stakeholders, ensuring transactions comply with company policies, procedures, and local laws.
- Identify and implement new trainings, initiatives, and best practices within the group.
- Provide legal support in reviewing local and global Data Privacy initiatives, identifying risks, and flagging potential issues.
- Identify process improvements and lead the team in developing guidelines, handbooks, and associated documents for standardizing processes.
- Collaborate with tech teams to develop new tools or enhance existing ones.
- Drive and manage the recruitment process for the team, collaborating with HR to conduct interviews.
- Provide coaching and mentoring to junior team members, manage direct reports, resolve conflicts, and provide feedback.
Specific Responsibilities aligned to Role:
- Draft, review, and negotiate high‑value and complex supplier/buyside agreements and related documentation with suppliers to procure various goods and services.
- Address complex contract queries, identify risks, suggest alternatives, and manage internal stakeholders such as deal teams, Solution Architects, Procurement, HR, Workplace, Finance, Marketing & Communications.
- Strategize with executives before vendor negotiations, represent the company’s interests, and liaise with vendor negotiating teams on complex contract reviews.
- Act as a legal point of contact, helping stakeholders understand contractual clauses and advising on potential contractual risks.
- Conduct gap analysis and create legal risk assessments, providing recommendations to minimize or mitigate risks effectively.
- Structure legal transactions to be advantageous from a contracting and business perspective and manage escalations.
- Work autonomously across all categories and complexities of contractual agreements, reviewing, advising, and negotiating legal issues.
- Assign and manage tasks to the team, manage escalations, provide feedback, and ensure all parties are informed of escalations.
Education and Experience Information:
- Bachelor’s degree in Law.
- Minimum of 5 to 15 years of experience at a law firm or as in‑house counsel and/or in legal outsourcing.
- Contract‑related global professional certification is considered a plus.
Knowledge and Skill Requirements:
- Expert understanding of both commercial and legal contractual risks with the ability to provide business‑oriented legal advice.
- Fluent in English with strong oral and written skills.
- Experience managing end‑to‑end projects and teams, working with internal and external teams, and understanding delivery requirements.
- Excellent interpersonal skills, detail‑oriented, sound judgment, adaptable, prompt, accurate, consistent, and able to drive tasks to closure.
- Strong time management, prioritization, and organizational skills.
- Ability to build trust‑based relationships, work under pressure, and influence senior management.
- Good understanding of company offerings, commercial agreements, legal and compliance fundamentals, corporate business practices, and contracting regulations.
- Comfortable with technology and experienced in using tools and databases.
