Position Legal Counsel

Job Description

Responsibilities
  • Reports to Legal Director (South Asia, Korea & Japan) and Vice President, Legal and assists them on medium to complex sales, business and corporate related transactions.
  • Interfaces directly with President, Vice Presidents, Managing Directors and Board of Directors of the Company across South Asia, Korea & Japan. Provides legal guidance to them in matters including contracts reviewing process, company policies, regulatory compliance and other matters described above, demonstrating an ability to handle complex matters without supervision.
  • Review and resolve legal related issues routinely on short notice.
  • Assist in review and modification or update of various types of complex documents including standard and non-standard agreements, which include but not limited to Master Sales Agreement, Vendor Management Inventory Agreements, Supplementary Agreement, Distribution Agreements, Vendor Engagement Agreements, Confidentiality Agreements, Settlement Agreements, Independent Design House Agreements, Memorandum of Understanding, Sponsorship Agreements and other form agreements.
  • Assist in review and modification or update of various types of operational agreements which include but not limited to licensing, employment, real property leases, shared service, logistics agreements.
  • Discuss and obtain feedback from internal key stakeholders and external customers on changes to contract terms.
  • Assist in corporate governance and company secretarial matters in South Asia, Korea & Japan and be the point of contact with local company secretarial firms as directed. This includes but not limited to attending to annual and quarterly statutory requirements, lodgements to local authorities, change of directors, notarisation and apostille support.
  • Coordinate with corporate group/services on various corporate matters including establishing new entities, obtaining good standing certificate, registering entity qualifications and dissolution of entities, apostille/authentication of corporate documents as needed.
  • Facilitates and oversees litigation management, dispute resolution and issuance of letters of demand. Responsible for management of all matters pertaining to active litigation, including review, editing and approval of pleadings.
  • Interface with sales team and maintain working relationship with other departments including Sales, Supplier Business Management Teams, Credit, Finance, Risk Management, Tax, Treasury, IT, and Business Operations etc.
  • Advisor and subject matter expert to business on legal support related subjects and key contractual terms.
  • Mitigate risk and liability exposure to company, in partnership with Business and Legal.
  • Conduct research and analyse law sources such as statutes, recorded judicial decisions, legal articles, treaties and legal codes. Where applicable, draft legal memoranda and other applicable documents and communications for Legal Director and Vice President, Legal as directed.
  • Assist in development of legal related training materials and conduct legal trainings to internal stakeholders.
  • Provide direction to legal counsels and company secretaries in completion of various assignments or special projects, and provide back-up assistance.
  • Maintains all applicable information and documentation for contracts, legal holds and legal cases/matters. Information is stored and updated in databases.
  • Keeps abreast of latest developments and changes in local regulations in India.
  • Provides support on ad-hoc projects as and when needed.
  • Support Legal, Compliance and/or Legal Operations requirements.
