JOB RESPONSIBILITIES:
1. REIT Compliance & Risk Management
- Ensure full compliance with applicable laws, regulations, and guidelines including the Securities Commission (SC) REIT Guidelines, Capital Markets and Services Act, and Bursa Malaysia Main Market Listing Requirements (MMLR).
- Monitor and assess regulatory developments affecting REIT operations and ensure timely updates to internal policies and procedures.
- Oversee compliance reporting and statutory announcements to SC and Bursa Malaysia.
- Strengthen internal controls and corporate governance frameworks to maintain transparency and accountability.
- Advise on and ensure adherence to Trust Deed covenants and contractual obligations.
- Identify, evaluate, and manage compliance risks related to the REIT and REIT Manager.
- Develop, review, and implement compliance policies aligned with industry best practices and regulatory expectations.
- Coordinate audits, inspections, and communication with regulatory authorities including SC, Bursa Malaysia, Bank Negara Malaysia, and the Personal Data Protection Commissioner.
- Manage compliance-related incidents, investigations, and reporting of breaches or potential breaches.
- Ensure adherence to data protection requirements under the Personal Data Protection Act (PDPA).
- Develop and execute compliance awareness and training programs to reinforce the organization’s compliance culture.
- Plan and implement strategies to ensure compliance with Anti-Money Laundering/Countering the Financing of Terrorism (AML/CFT) regulations.
- Support the design, implementation, and maintenance of the overall compliance and risk management frameworks.
- Provide compliance and risk advisory support to senior management and relevant departments.
2. Company Secretarial Support
- Support company secretarial functions to ensure compliance with the Companies Act 2016.
- Assist in organizing and coordinating Board, Committee, and General Meetings, including preparation of notices, agendas, resolutions, and minutes.
- Liaise with external share registrars on matters such as income distribution, issuance of new REIT units, and book closure notifications.
- Coordinate with external company secretarial service providers as required.
JOB REQUIREMENTS:
- Bachelor’s Degree in Law, Business, Finance/Accountancy, or related discipline.
- Professional qualification such as ICSA or equivalent is preferred.
- Minimum 6 years of experience in corporate secretarial, legal, or compliance functions, with at least 3 years in capital markets or REIT-related roles.
- Strong understanding of the Companies Act, Main Market Listing Requirements, Malaysian Code on Corporate Governance, Capital Markets and Services Act, and REIT Guidelines.
- Hands-on experience working with internal auditors, lawyers, and corporate secretarial teams.
- Excellent analytical and problem‑solving skills with the ability to interpret complex regulations.
- Strong communication and interpersonal skills, able to engage effectively with senior management and Board of Directors.
- High level of integrity, professionalism, and attention to detail.
- Proactive, independent, and capable of managing multiple priorities effectively.
- Familiar with risk management, business processes, and compliance reporting practices.
