Job summary

A corporate services provider in Kuala Lumpur is seeking a Corporate Secretary to ensure compliance with the Companies Act and manage corporate governance. The ideal candidate will have at least 8 years of experience in a similar role, provide in-house secretarial services, and advise the Board of Directors. The remuneration can go up to MYR 10,000.

  • Liaise with external auditors and company secretaries.

Job description

Responsible for ensuring compliance with Companies Act and responsible for all corporate secretarial related matters.

Responsibilities
  • To provide in-house secretarial services in managing and administering secretarial practices and statutory requirements in compliance with Companies Act 2016 and other countries local act for all overseas entities.
  • To exercise a comprehensive company secretarial duties and functions for a group of companies.
  • To prepare and attend to various corporate documents, statutory forms and legal documents.
  • To ensure proper maintenance of statutory records and submission of statutory returns.
  • Oversee the Company's corporate governance framework, ensuring compliance with relevant laws and regulations.
  • Implementing corporate governance best practices.
  • Advise Board of Directors and Senior Management on governance issues, company policies, and legal compliance.
  • To coordinate and support other departments in special assignments and corporate exercise.
  • Deal and liaise with external auditors during audit review.
  • Deal and liaise with external company secretaries/lawyers and corporate services provider for overseas legal entities on corporate documents and secretarial matters.
  • Dealing with Bankers, discuss and negotiate the Term and Conditions of the Banking Facilities.
  • Negotiating, drafting and review of trade agreements, agreements of all kinds and other legal documents.
  • Ensure all agreements and contracts comply with the relevant laws and regulations, including but not limit to international trade laws.
  • Collaborate with internal stakeholders and external partners to facilitate smooth execution of agreements and contracts.
  • Track and manage the performance of agreements, addressing any issues or disputes that arise.
  • Ensure compliance with Direct Selling Act and Direct Selling Association Regulations in Malaysia and relevant countries.
  • Attends other's ad-hoc assignments as and when required.
Requirement
