A leading corporate firm in Malaysia is seeking a Corporate Secretary to manage resolutions, meetings, and statutory compliance in accordance with the Companies Act 2016. The ideal candidate should possess 5-8 years of experience, preferably with a listed company, along with a strong knowledge of corporate laws. Proficiency in English and Bahasa Malaysia is essential, and knowledge of Mandarin is a plus. The role requires detail-oriented and proactive skills, allowing for independent work under tight deadlines.
Prepare resolutions, minutes, annual returns, and statutory forms/documents in compliance with the Companies Act 2016 and Bursa Malaysia Listing Requirements.
Compile meeting papers for Board, Committee, and shareholders' meetings, including attending meetings and drafting minutes.
Maintain and update statutory records, registers and corporate documents.
Liaise with regulatory authorities, external auditors and internal departments.
Support corporate exercises, including share issuance, restructuring and other governance initiatives.
Provide guidance and advice on company secretarial and corporate governance matters.
Undertake any other responsibilities or duties as may be assigned from time to time.
Preferably a Member of MAICSA/ICSA; alternatively, a Licensed Company Secretary registered with the Companies Commission of Malaysia (SSM).
Minimum 5-8 years of relevant experience, preferably with a listed company or corporate secretarial firm.
Sound knowledge of the Companies Act 2016, Bursa Malaysia Listing Requirements, and other statutory regulations.
Excellent command of English and Bahasa Malaysia. Knowledge of Mandarin will be an added advantage.
Detail-oriented, proactive, and able to work independently under tight deadlines, with a positive working attitude.
