You join the Mirova legal team as a Senior Legal Counsel (transactional lawyer) to work closely with colleagues from emerging markets. Your main mission will be to support Mirova’s management teams in the management of private asset funds, mainly in emerging countries (Asia, Africa, South America) as well as other activities of the legal service, including the development of an investment advisory activity. You will also assist management teams in the acquisition of companies within natural capital, energy transition, private equity, carbon funds, etc.

• Assisting the investment committees of the funds and providing legal advice;
• Providing legal support to the transaction teams to ensure that all financial documentation is negotiated, appropriately structured and documented in accordance with the parameters defined by the investment committee, company policies, legal documentation of funds and Mirova’s policies;
• Lead and support negotiation of transaction documents;
• Instruct and manage external advice, including local councils;
• Manage the transaction process, including various external parties;
• Perform a thorough analysis of the current loan and / or investment agreements, update the loan models, SPA and SHA, and perform research and other tasks as required.

As a Transactional Jurist, you participate in the improvement of legal processes and documentation, as well as the support of investment teams on new product ideas and new sectors.

Required Skills / Qualifications / Experience

About you :

With a degree in English and French law, you have at least 10 years of experience in transaction consulting positions within a law firm or banking institution. Significant experience in sub-Saharan Africa, Southeast Asia and / or emerging markets would be highly valued. In addition, knowledge of OHADA countries would be an asset.

You are proficient :

• Banking, finance and project financing;
• The LMA documentation.

You have an excellent relationship, a very good listening ability, you are :

• Appreciated for your team spirit;
• Recognized for your excellent communication skills.

You master English with a C1 level.
