As a Legal Counsel, you will work closely with our Chief Legal Officer and executive teams and play a key role in ensuring legal clarity, compliance, and operational efficiency for the success of our clients and our agency.

Key Responsibilities:

1. Legal Communication & Information Management – Critical Function

• Provide daily legal updates to the Chief Legal Officer and senior management in a clear, concise, and actionable format.

• Prepare and send brief explanatory messages summarizing regulatory updates, contract statuses, and risk items.

• Maintain consistent documentation and communication updates in internal tools such as Wrike, Monday.com, Notion, or the company’s DMS.

• Ensure real-time visibility of legal matters across stakeholders by logging progress, deadlines, and dependencies.

• This function is a core requirement of the role, and strong communication, tracking, and follow-through abilities are essential for success

2. Regulatory Compliance & Corporate Governance

• Manage annual and recurring compliance requirements across DMCC, DIFC, International Jurisdictions such as US and UAE Mainland jurisdictions.

• Liaise with government and free zone authorities to ensure timely submissions, license renewals, ESR, UBO, and other filings.

• Proactively monitor regulatory developments in UAE and recommend relevant updates.

3. Corporate Restructuring & Entity Management

• Lead end-to-end coordination for new entity setups, shareholder changes, board resolutions, capital changes, and other company amendments.

• Act as the legal point of contact for DMCC, DIFC, and UAE Mainland authorities on corporate matters.

4. M&A & Investor Support

• Collaborate with the CLO and management on M&A due diligence, investor onboarding, and capital-raising legal processes.

• Manage confidentiality, data room access, investor communications, and structuring documentation.

5. Contract Lifecycle Management

• Draft, review, and negotiate a variety of contracts (NDAs, Shareholders Agreement, Service Agreements, SaaS, Vendor, MoUs, employment terms, IP assignments, etc.).

• Support risk assessment and stakeholder alignment through risk memos and internal explanations.

6. External Counsel & Stakeholder Liaison

• Serve as the primary liaison with external legal advisors and law firms across jurisdictions.

• Consolidate input and coordinate legal deliverables between internal and external stakeholders.

7. Legal Document Management

• Maintain structured documentation repositories (e.g., Google Drive, Dropbox, or DMS tools).

• Ensure proper execution, stamping, notarization, and archiving of legal documentation.

8. Cross-functional Legal Support

• Support the CLO on special projects, legal training, compliance communications, and ad hoc advisory.

• Manage legal-related communications on behalf of CLO with stakeholders such as Group Chairman and document updates in Wrike or designated systems.

What We’re Looking For:

Qualifications & Experience

• Law degree (LLB or equivalent). LLM is a strong plus.

• 3–6 years of legal experience in corporate/commercial law, within the UAE.

• Demonstrated hands-on experience and exposure to free zones (DIFC/DMCC/ ADGM) and mainland compliance.

• Experience working with M&A, investors, or startup ecosystems is advantageous.

Skills & Attributes

• Fluent in English.

• Proficient in contract drafting, risk analysis, and legal research.

• Excellent organizational, stakeholder communication, and follow-up skills.

• Independent, self-motivated, and able to operate under minimal supervision.

Tech & Tools

• Proficient with MS Office Suite, Google Workspace, contract tracking systems, legal research databases (LexisNexis, Westlaw), and project management tools (e.g., Wrike, Notion).
