Job description

This is a full-time on-site role for an Associate Counsel located in Greater Kuala Lumpur. The Associate Counsel will be responsible for legal document preparation, providing legal advice, regulatory filings and litigation management.

Opportunity Highlights
  • Broad Industry Exposure – Gain hands‑on experience across diverse corporate and commercial projects, working with clients from various industries.

  • IPO & Listing Exposure – Play a key role as internal counsel in the group’s upcoming listing, including managing the IPO process, coordinating with external advisors, and supporting pre‑ and post‑listing regulatory compliance.
  • High‑Impact Transactions – Take the lead in managing a wide array of corporate and capital markets transactions, such as cross‑border mergers and acquisitions, pre‑IPO restructuring and financing, joint ventures, IPOs, and post‑listing regulatory compliance for companies listed on NASDAQ.
Key Responsibilities
  • Contract Management – Draft, review, revise, and negotiate a wide range of contracts, covering both existing and new corporate and commercial projects, products, and services.
  • Regulatory Compliance & Advisory – Monitor and advise on company policies and procedures to ensure compliance with applicable laws, regulations, guidelines and regulatory rulings.
  • Risk Management & Legal Solutions – Identify and address legal risks, providing practical and strategic solutions aligned with the group’s business strategy and operations.
  • Litigation Management – Oversee and manage litigation and dispute resolution matters, working closely with external counsel to develop strategies that protect the group’s interests.
  • Regulatory Filings & Documentation – Coordinate with external corporate secretary for the preparation, submission and filing of statutory forms, documents, resolutions and announcements with relevant authorities.
Qualifications & Skills
  • LL.B., with preferably two (2) to four (4) years and above experience in general corporate work (i.e. mergers and acquisitions, corporate and commercial transactions) gained in‑house or at a legal firm. Pupillage experience is considered.
  • Experience with NASDAQ‑listed companies or NASDAQ‑related transactions is highly appreciated.
  • Strong team working skills with the ability to negotiate effectively and stay organized. Must be a self‑starter who can work independently while fostering collaboration.
  • Strong critical thinking, analytical, reasoning, negotiation and legal research skills to develop practical and innovative solutions, while effectively partnering with different stakeholders on execution.
  • Meticulous and quick learner with the ability to grasp complex legal and business concepts efficiently.
  • Able to provide clear, concise and well‑structured reports to support decision‑making.
