The opportunity

Are you ready to make your mark as part of the Capital Markets Practice in our Singapore office? As a Legal Manager, you will apply good judgment and excellent analytical skills to your work. Highly organised, detail-oriented and self-motivated, you’ll be hard working and a team player with a strong professional presence and client focus.

White & Case is regularly involved in some of the most successful securities offerings throughout Asia-Pacific. Our team has advised on offerings across the region, including Singapore, Indonesia, India, Mainland China, Hong Kong, Macau, Malaysia, Thailand, and Vietnam.

We have invested in having a combination of US, English, Singapore and Hong Kong law capability available from within our Singapore and Hong Kong offices. • Assisting on equity, equity linked and debt capital markets deals across the APAC region
• Drafting, reviewing and preparing legal and technical documentation such as offering memoranda, prospectus, term sheets, underwriting/subscription agreements, trust deeds/indentures, forms for SEC filings and announcements, etc.
• Conducting legal due diligence on issuers, including reviewing corporate records, material contracts, etc.
• Managing work streams including third party due diligence and accounting comfort letters and circle ups
• Preparing ancillary documentation, including legal opinions and closing certificates
• Conducting legal research including analyzing applicable securities laws and market trends/precedents
• Supporting transaction signings and closings and follow-up post-closing activities, including signing packs, closing checklists, transaction bibles and post closing compliance requirements
• Liaising with issuers, underwriters and other stakeholders working on a project on transaction progress, and overseeing and ensuring deliverables are met

• 1-2 years’ experience in DCM/ECM/IPO transactions gained with an international or reputable local law firm
• Common law or US qualification required
• Fluent English
• Willingness to learn and work on both ECM and DCM transactions in different jurisdictions across the region
• Strong academic record and intellectual curiosity, creative and analytical thinker with strong judgment skills
• Outstanding communication skills - written and verbal
• Strong time management skills, ability to stay calm under pressure when working across multiple deals
• Client service focus and commercial awareness
• Team player
• Proactive, diligent and a self-starter
