How will you CONTRIBUTE and GROW?
Contracts Review & Management
- Draft, negotiate and assist with a range of commercial contracts with customers, agents and suppliers (including equipment, energy and transport providers).
- Review and provide legal advice on responses to customer-driven tender processes, including identification of legal risks in customer’s proposed purchasing terms.
- Render legal opinion on company concerns including customer and supplier relations and contracts implementation.
- Manage a contracts database and entity policies.
- Manage the notarial services for the Company.
Legal Review & Opinion
- Understand the implementation of various laws, local regulations and authorized standardization bodies.
- Understand codes and mandatory regulations related to AL activities to analyze its implications and provide practical guidelines or internal plan to comply with it.
- Provide legal support to internal stakeholders.
Case Management
- Handle cases (initiate, monitor, complete) for the company and represent the company in judicial, quasi judicial and administrative hearings.
- Provide legal support in contractual disputes to generate the best possible commercial outcome, including management of external lawyers briefed in litigation.
Management of Ethics Concerns
- Act as entity's Ethics Officer.
- Promote and remind all compliance aspects and corporate legal mechanisms in daily routine activities among employees.
- Work together to achieve the highest level of compliance by taking a leadership role in daily duties.
- Provide and convey training material of laws and any legal aspect of AL activities in accordance with the requirements of government regulations and Air Liquide policies.
Manage IRC and Compliance with other Rules and Regulations
- Ensure that all AL activities in the country comply with all government regulations and Air Liquide policies.
- Liaise with AL representatives in groups and/or organizations for consulting during the process to develop laws, mandatory regulations, codes or standards.
- Lead for coordination and communication process (interface) between Air Liquide and the regulatory authorities.
- Define the IRC Program that has compliance aspects in general and related to corporate legal matters.
- Ensure that suspected offenses or violations of laws or mandatory regulations are promptly reported to the Managing Director of the subsidiary.
- Establish a yearly plan for Legal Site Audit to ensure that operations are compliant with applicable laws, mandatory regulations, codes and standards.
- Monitor compliance improvement process and make necessary corrections/adjustments.
- Maintain reasonable knowledge of the codes and standards mandated by the laws and mandatory regulations.
Board Matters
- Ensure corporate compliance and governance, responsible for board meetings, drafting and review of resolutions (Shareholders, Commissioners and Directors), when required and in coordination with external service providers.
- Act as the Company's Corporate Secretary.
Conduct Trainings
- Facilitate legal training.
Are you a MATCH?
Approximately 12 years of Post Qualification Experience in the Legal Department of a multinational company or a mix of law firm and in-house experience; in manufacturing or chemicals industry a plus. Experience in international taxation and export financing methods.
