As Legal Commercial Counsel at TPConnects, you will be the primary point of contact for all legal matters across our global operations. This role involves supporting the business in drafting and negotiating contracts, managing compliance with international (UK/US) and UAE laws, protecting our intellectual property, and advising on regulatory requirements specific to SaaS and the airline industry.
You will work closely with internal stakeholders across Sales, Finance, Product, Engineering Leadership, helping to shape the legal framework around our technology, operations, and partnerships.

Key Responsibilities
- Contract Management: Draft, review, and negotiate SaaS agreements, licensing contracts, vendor agreements, and partnership deals with travel agencies, airlines, and technology providers. Ensure compliance with relevant laws and NDC standards.
- Technology and IP Protection: Provide advice on intellectual property matters, including software licensing, trademarks, and proprietary algorithms, to protect the company's SaaS platform and innovations.
- Regulatory Compliance: Ensure adherence to technology, data protection, and commercial laws, as well as international travel industry standards such as IATA regulations and NDC protocols, including requirements for cross-border data transfer.
- Data Protection and Privacy: Oversee compliance with UAE data protection laws and international frameworks like GDPR concerning client and user data processed on the SaaS platform.
- Corporate Governance: Support corporate governance by preparing board resolutions, maintaining statutory records, and ensuring compliance with various corporate regulations.
- Risk Management: Identify and mitigate legal risks related to SaaS operations, cybersecurity, and partnerships within the travel industry. Provide proactive advice to minimize disputes.
Skills and Qualifications
- Bachelor's or Master's degree in Law (LLB or equivalent); qualification to practice law in the UAE or a common law jurisdiction preferred.
- 5+ years of post-qualification experience in technology law, SaaS, or commercial contracts, or in a large legal company.
- The candidate should be a Bar registered lawyer.
- In-depth knowledge of UAE laws, UK and Wales is a good alternative, international data privacy regulations (especially GDPR), and commercial law principles.
- Strong understanding of IP protection and technology licensing.
- Familiarity with IATA, NDC, and airline industry standards is highly desirable.
- Excellent drafting, negotiation, and communication skills.
- Ability to balance legal risks with business goals in a fast-paced, cross-border environment.
- Proactive, detail-oriented, and comfortable working independently and collaboratively.
