Responsibilities
- Provide comprehensive legal guidance on corporate transactions, governance, contracts, mergers and acquisitions, intellectual property, and employment matters.
- Draft, review, and negotiate contracts and agreements to safeguard the interests of Kaizen AMS.
- Ensure full compliance with UAE laws and regulations, and represent the company in legal proceedings, arbitration, or negotiations.
- Oversee the collection process and enforcement of liens, ensuring that the organization’s legal and financial rights are protected.
- Offer expert advice on employment matters, labor law compliance, employee contracts, and workplace policies.
- Conduct ongoing legal research to stay current with regulatory changes and emerging legal risks.
- Identify potential areas of legal exposure and recommend mitigation strategies.
- Provide guidance on official communications, notices, and interactions with stakeholders to ensure that all organizational activities are legally sound.
- Ensure that Kaizen AMS adheres to corporate governance standards under Federal Decree-Law No. 32 of 2021 and other relevant UAE regulations.
- Develop and implement governance frameworks aligned with regulatory requirements, including SCA and ESCA.
- Advise on Board composition, director independence, shareholder rights, and corporate decision‑making processes.
- Oversee compliance with corporate social responsibility initiatives and internal governance policies.
- Monitor and ensure adherence to all applicable UAE federal and local regulations, including anti‑money laundering (AML), counter‑terrorism financing (CTF), and data protection laws.
- Serve as the primary liaison with regulatory authorities to maintain the company’s compliance status.
- Implement processes and policies to proactively manage regulatory obligations and ensure operational integrity.
- Manage legal disputes efficiently, using litigation or alternative dispute resolution methods where appropriate.
- Represent Kaizen AMS in arbitration, mediation, and other negotiation processes.
- Develop strategies to resolve disputes in a timely and cost‑effective manner while protecting the organization’s reputation and interests.
- Lead initiatives to educate staff and management on legal requirements, corporate governance, and compliance obligations.
- Conduct training sessions, workshops, and awareness programs to foster a culture of legal responsibility and ethical standards.
- Maintain and update legal resources to support staff in making informed, compliant decisions across the organization.
Qualifications
- Bachelor’s degree in Law (LLB) required; passing the Bar exam is a must.
- UAE or Lebanon‑licensed legal practitioner preferred.
- Minimum 5–7 years of experience in corporate law, preferably within UAE or GCC jurisdictions.
- Strong knowledge of UAE corporate, labor, intellectual property, and regulatory laws.
- Proven experience in corporate governance, compliance, contracts, and dispute resolution.
- Excellent drafting, negotiation, analytical, and communication skills.
- Ability to work independently in a remote environment while collaborating effectively across teams.
