The Senior Counsel will oversee corporate legal matters and drive strategic transactions that support the company's rapid growth. This position will play a pivotal role in shaping the company’s expansion strategy through complex deals and governance initiatives across multiple jurisdictions.
Key Responsibilities
Transactional Leadership
Take ownership of legal aspects of corporate transactions, including acquisitions, divestitures, joint ventures, minority investments, and strategic partnerships.
Direct and coordinate due diligence efforts across legal, regulatory, and contractual areas, working closely with internal teams such as finance, tax, real estate, and operations.
Prepare, review, and negotiate key agreements—purchase and sale agreements, joint venture documents, shareholder arrangements, confidentiality agreements, and preliminary deal terms.
Governance & Regulatory Oversight
Manage entity formation and maintenance, board approvals, and corporate structure across multiple geographies.
Ensure adherence to regulatory frameworks governing foreign investment, infrastructure assets, and cross-border capital flows.
Design and implement internal governance policies to support investment and transactional activities.
Strategic Collaboration
Work alongside corporate development teams on deal origination, valuation, and integration planning.
Advise real estate and operations teams on legal aspects of land acquisitions, long‑term leasing, energy procurement, and major customer agreements.
Partner with finance on capital raising initiatives, including debt and equity transactions and project financing.
Risk & External Counsel Management
Identify and mitigate legal risks in complex transactions with pragmatic, business‑focused solutions.
Oversee external counsel engagement, including budgeting, timelines, and quality assurance.
Establish scalable legal processes to support ongoing growth.
Key Requirements
Qualifications
Law degree (JD, LLB, or equivalent) from a recognized institution and active license to practice in relevant jurisdictions.
Minimum 10 years of post‑qualification experience in corporate/M&A, ideally gained at a leading international law firm or in‑house within a high‑growth environment.
Demonstrated success in managing cross‑border transactions end‑to‑end.
Experience working with private equity sponsors, infrastructure funds, or institutional investors is highly advantageous.
