Base Location: Our base locations are UK wide.

The Technology in M&A team at KPMG is one of the fastest growing and most profitable within Deal Advisory and across the firm. The team handles all aspects of technology from back-office IT, technology-enabled operations, to proprietary revenue-generating software products. This role is specifically for a Manager capable of delivering propositions on Technology companies with proprietary platforms.

We support clients across the deal lifecycle, providing support with pre- and post-deal technology issues, including buy-side diligence, sell-side diligence, separations, integrations, IPOs, synergies, JVs, and business stand-ups.

Responsibilities:

Your workload will include due diligence and integration & separation advisory work.

Due Diligence:
  • Review documents in VDRs and conduct Q&A sessions with CTOs/CEOs.
  • Own and contribute to technology deal-related deliverables.
  • Assess the impact of technology on business plans, deal valuation, and deal thesis, including risks, opportunities, and pragmatic recommendations.
  • Address client questions like scalability of software platforms, investment needs for expansion, and strategic platform choices post-merger.
Integration & Separation:
  • Advise on technology aspects of integrations, separations, and optimization initiatives, including developing target operating models, understanding IT landscapes, defining transitional service agreements, and supporting implementation.
  • Lead technology workstreams in integrations and separations, supporting client workstream leads.
  • Answer client questions such as developing plans to remove scaling barriers and de-duplicate software landscapes to realize synergies.
Experience Required:
  • Experience with Software/Product Due Diligence, integrations, separations, or similar roles.
  • Experience in domains like product strategy, management processes, SDLC, architectures, deployment models, code security, and deal lifecycle impact.
  • Track record of leading projects and engagements.
Preferred Skills:
  • Additional experience in Commercial Due Diligence is a plus.
