Title and Summary

Counsel, Business Conduct Office

Overview:

The Business Conduct Office (“BCO”) develops and promotes policies and training that ground Mastercard’s culture: the Code of Conduct, Whistleblower Policy, Non-Retaliation Policy, and the Conflicts of Interest Guidelines. Mastercard has various channels for reporting misconduct allegations, and the BCO and Employee Relations ensure investigations are conducted fairly and thoroughly.

As Counsel in the BCO based in Canada, you will conduct internal investigations into business misconduct and perform other BCO activities, including vetting conflicts of interest and drafting training materials, communications, and reports. This role requires the ability to conduct privileged investigations independently from start to finish, including identifying issues, reviewing documents, conducting interviews, and presenting findings both in writing and verbally. Expertise in investigations, a solid understanding of applicable laws and regulations, and the ability to communicate effectively at all organizational levels are essential. Attention to detail and discretion are critical when handling confidential matters.

The role reports to the Senior Vice President, Counsel, Business Conduct Office.

Role:

• Conduct complex investigations globally, with a focus on Recorded Future, a Mastercard subsidiary.
• Assist first-line Compliance in establishing and maintaining a compliance culture at Recorded Future.
• Maintain and improve compliance policies and programs worldwide.
• Respond promptly to incidents and inquiries, ensuring confidentiality and protection for reporters and the organization.
• Collaborate with internal legal teams and external counsel as needed during investigations.
• Analyze conflicts of interest and determine appropriate resolutions.
• Build positive relationships with internal stakeholders across various departments.
• Develop and maintain a global network of contacts to foster trust and credibility.
• Contribute to ethics and compliance communications, including messages for Compliance Week, theHUB, the World’s Most Ethical Company application, and ESG reporting.
• Develop, update, and oversee the implementation of policies and procedures.
• Assist in preparing Audit Committee materials, including analysis of investigation metrics.
• Support the BCO mailbox and other key initiatives as required.

All About You:

• Law degree required.
• Extensive investigation experience.
• Understanding of laws relevant to a global payments technology company and a US-headquartered public corporation.
• Strong partnership and collaboration skills, including active listening.
• Proven leadership and integrity, with the ability to manage large projects and prioritize effectively.
• Experience managing multiple projects and deadlines independently.
• Excellent communication skills, with attention to detail in drafting and proofreading.
• Ability to research, interpret, and communicate regulations and laws.
• Experience in policy development and management is preferred.
• Strong data analysis skills, with experience in trend analysis preferred.
