Overview

Outsourced CFO is recruiting for a Senior Secretarial Consultant. This role will oversee a portfolio of secretarial clients and ensure compliance with the South Africa Companies Act 71 of 2008 and the requirements of CIPC. Responsibilities include assisting with company registrations, drafting and amending Memorandum of Incorporation (MOI), maintaining statutory records, and ensuring timely lodgement of annual returns. The consultant will manage share capital, share transfers, redemptions, allotments and repurchases, as well as changes to directors, company secretary, auditors, year-end and registered office. The role also involves business development in the secretarial service offering and managing the applicable SER for this subdivision, identifying new opportunities for growth and expanding the client base, while ensuring services meet or exceed client expectations.

Responsibilities
  • Secretarial Services: Oversee a portfolio of secretarial clients and provide advice on compliance with the Companies Act 71 of 2008 and CIPC requirements.
  • Handle company registrations and all amendments to CIPC on behalf of clients.
  • Draft and amend Memorandum of Incorporation (MOI) for clients.
  • Ensure iXBRL and compliance checklists are up to date and accurate for each client.
  • Compile share registers, draft resolutions and maintain statutory records for each client.
  • Manage share capital, share transfers, redemptions, allotments and repurchases on behalf of clients.
  • Handle changes to directors, company secretary, auditors, year-end and registered office on behalf of clients.
  • Lodge annual returns on behalf of clients and ensure compliance with the Companies Act 71 of 2008.
  • Handle amendments to Close Corporations and ensure compliance with related statutory requirements for each client.
  • Maintain and update client data in the client maintenance system (Infodocs).
  • Planning and Administration: Prepare meeting agendas, update pricing for services, ensure timely invoicing, review monthly financial performance of the Secretarial subdivision, manage timelines and expectations, ensure timeous submission of timesheets, ensure accurate job display on Zoho Projects and report any time or project allocation inaccuracies.
Requirements

Min Qualification

  • Matric
  • National Diploma in a secretarial or business administration field is highly beneficial

Min Experience Required

  • 5 years Secretarial compliance experience
  • Proven hands-on experience managing a portfolio of diverse clients, including responsibility for statutory records, annual returns and corporate changes (directors, share capital, MOI amendments).
  • Demonstrable expertise in managing complex share capital transactions (transfers, allotments, redemptions, repurchases).
