Introduction

To assist in the planning, design and implementation of activities within the Governance and Compliance functions for JSE Clear – ensuring that the clearing house maintains an appropriate governance framework as well as compliance risk management and control systems and remains compliant with all applicable legislation and regulation.

Results Delivery

Apply cost‑effectiveness principles in planning and delivery to contribute to the achievement of divisional financial targets.

Compliance Framework
  • Provide input into the definition, development, implementation and ongoing maintenance of a Compliance Framework for JSE Clear in accordance with best practice.
  • Definition, establishment and maintenance of a JSE Clear compliance universe, which includes a list of relevant laws, regulations and governance requirements applicable to JSE Clear, and assessment of the impact of non‑compliance.
  • Provide input towards the definition of a risk‑based compliance risk management plan, based on the compliance universe which defines the process for achieving compliance for each aspect of the plan.
  • Drafting and ongoing maintenance of internal policies and processes for JSE Clear such as the Compliance Policy, Conflicts of Interest Policies etc.
Compliance Monitoring and Reporting

Assist in the design and implementation of the compliance measures implemented and the actions taken to address any deficiencies in JSE Clear’s compliance with its obligations.

  • Compile compliance management information for reporting to the JSE Clear Executive Committee and JSE Clear Board Committees (specifically the JSE Clear Audit Committee, JSE Clear Risk Committee and any applicable JSE Group committees such as the GSROOC).
  • Ownership of the coordination of responses for the IOSCO JSE Clear self‑assessment (undertaken every two years). Assist with responses to information requests from regulators in relation to IOSCO submission.
  • Ownership of all regulatory reporting obligations (i.e. Monthly/Quarterly Annual PA reporting, distribution of governance meeting packs to the PA and FSCA).
Governance Oversight
  • Ownership of coordination of all documentation, communication and administration in relation to the JSE Clear governance committees (including JSE Clear Risk and Operations Advisory, Risk Committee, JSE Clear Board and Bond ETP Risk Committee).
  • Development and continued monitoring of the JSE Clear Risk Committee and Board workplan.
  • Ownership of governance updates to all JSE Clear governance documentation.
  • Preparation of JSE Clear Governance Committee meeting packs (including use of tool for the drafting of meeting minutes) and general management of all associated administration linked to these committees.
  • Management and coordination of annual director and risk committee training.
Project Management
  • Assist in the definition, development and implementation of project management plans for JSE Governance and Compliance related projects.
  • Drive the roll‑out of plans or phases of various workstreams.
Rulebook Management and Administration
  • Maintaining an expert understanding of the contents of the JSE Clear rulebook.
  • Assist in the management of any changes or updates to the JSE Clear rulebook.
Enforcement of the JSE Clear Rulebook on its Members
  • Assist in the annual monitoring of Clearing Member compliance with clearing house rules which includes the creation of reporting on the annual Clearing Members compliance questionnaire and creation of reporting for individual Clearing Member Due Diligence onsite meetings.
  • Developing quarterly reporting of Clearing Member supervision results and findings through the Compliance Report tabled at the Risk Committee.
  • Assist in monitoring of Clearing Member adherence to recommendations made by the Clearing House based on findings emanating from supervisory activities.
Regulatory Management

Completion of all JSE Clear regulatory submissions including but not limited to the preparation and submission of JSE Clear’s quarterly and annual regulatory returns, all questionnaires and enquiries, working visits and on‑site inspections.

Stakeholder Relationship Management

Compliance Framework Definition and Maintenance
  • Maintaining strong and collaborative working relationships with all relevant divisions within the JSE Group (including, but not limited to, the Group Compliance and Group Audit functions).
  • Provide guidance and consultation to business units on compliance matters as necessary.
  • Engage with the JSE Clear business on the design and implementation of the controls in respect of logging compliance vulnerabilities.
Governance Oversight

Maintaining productive working relationships with all members of the JSE Clear governance committee members. Responsible for the development of annual director’s training syllabus.

Project Management
  • Define internal client need‑fulfilment strategies on various projects by defining and agreeing upon roles, deliverables and expectations in the various phases of the project upfront and then by negotiating and managing the expected outputs on the project.
  • Build effective internal relationships with business units to enable the timely delivery of deliverables for the various JSE Clear Governance Committees.
  • Develop project plans to ensure effective delivery of the team contribution to the divisional business objectives.
  • Monitor own delivery against agreed delivery plan and set timelines, identify obstacles to delivery and take appropriate action where required.
Regulatory Reporting Management

Contribute towards liaisons with all relevant regulators regarding regulatory governance and compliance matters on behalf of JSE Clear.

Compliance Framework Definition and Maintenance
  • Assist in the review and updating of the compliance universe on a biannual basis.
  • Ensure effective management and storage of all JSE Clear policies and procedures on the team SharePoint site – a single source, with adequate control, review and update functionality.
  • Identify – with the assistance of the JSE’s Public Policy team – relevant amendments to legislation, draft legislation and new legislation that impacts or could impact JSE Clear’s compliance universe.
  • Assist in ensuring that all JSE Clear employees are familiar with JSE Clear policies and other compliance requirements and the consequences of their non‑compliance, through communication and guidance updates.
Compliance Monitoring and Reporting
  • Ownership of the compilation of regulatory reporting requirements as required for the PA, FSCA and other regulatory bodies as required.
  • Contribute towards liaisons with relevant regulators to discuss all compliance obligations imposed on the clearing house.
  • Monitoring and reporting on compliance aspects within each of the required business units.
  • Engage with compliance subject matter experts within the Clearing Member community and other compliance staff as required.
  • Engage with clearing members and their clients for the completion of due diligence work on the clearing house.
Governance Framework

Provide thought leadership into all aspects of governance and compliance, specifically related to CCPs. Regular analysis of all relevant local legislation (including, but not limited to, The Financial Markets Act, The Companies Act, King IV) as well as any relevant best practice (IODSA). Assistance with the management of the governance framework to ensure that the governance obligations of the clearing house are being fulfilled satisfactorily.

Rulebook Enforcement
  • Assist in the review and maintenance of the clearing house rules and directives to define the various obligations placed on the clearing house and its members.
  • Assist in the process of conducting Clearing Member Supervision in conjunction with subject matter experts to measure clearing members’ compliance with their obligations.
