Job description

The Senior Specialist – Legal Secretary will play a key role in supporting the governance and operational functions of the Board of Trustees (BoT) and its committees. This role involves ensuring legal compliance, managing official records, facilitating effective communication, and delivering high-quality administrative and technical support for governance-related activities.

Duties and Responsibilities

BoT & Committee Affairs:

  1. Develop and maintain the annual calendar for BoT and committee meetings, ensuring alignment with governance charters.
  2. Track and follow up on delegations issued by the BoT and committees.
  3. Ensure adherence to the legal governance framework across all committees.
  4. Archive and maintain secure access to all committee-related documents and correspondence.
  5. Maintain up-to-date records of committee members, roles, and related documentation.
  6. Provide legal and governance analytical support and research on topics related to the Foundation’s operations.

Operations Management:

  1. Record and manage BoT and committee delegations and assignments, ensuring timely coordination and follow-up.
  2. Prepare and finalize meeting minutes, securing necessary approvals.
  3. Convey verbal directives and formal delegations from the Chairperson to relevant parties, maintaining clear documentation.
  4. Coordinate and schedule all committee meetings in collaboration with the Chairperson and other stakeholders.
  5. Log and manage confidential correspondence and sensitive documentation securely.

Administrative Support:

  1. Ensure the readiness of digital tools and devices for all BoT and committee meetings.
  2. Manage incoming and outgoing correspondence, ensuring proper logging and secure communication.
  3. Dispatch meeting minutes, legal correspondence, and other documentation to the BoT, committees, and executive leadership.
Education and Experience

Bachelor’s degree in Law, Business Administration, or a related field.

4+ years of experience in corporate governance, board operations, or a similar secretariat role.

Knowledge, Skills, and Abilities
  1. Deep understanding of corporate governance practices and legal documentation standards.
  2. Strong proficiency in Microsoft Office, Google Suite, and familiarity with document management systems.
  3. Exceptional organizational and time management skills with a high level of confidentiality.
  4. Prior experience of working in KSA and good understanding of local culture and regulations.
  5. Excellent written and verbal communication skills in English and Arabic.
  6. Experience in coordinating high-level meetings and preparing legal documentation.
  7. Ability to handle complex administrative tasks and maintain composure under pressure.
  8. Prior experience supporting or coordinating Board or committee operations is highly desirable.
