Act and represent the Company legally and at the request of superiors can act as the Company's legal representative and all subsidiaries both overseas and domestically.
Create a team collaboration system between Legal department staff and distribute and determine job descriptions for each staff in each section of the Legal department.
Create a documentation and data recording system and always update it so that it can run well.
Make comprehensive reports to superiors periodically.
Creating general agreement and MOU templates.
Always provide legal advice to the company at all times on any issues and transactions handled directly by Legal.
Conduct assessments of the entire system in the Legal department, resolving problems that arise at any time and improving the department's performance system in parallel with it.
Create and/or review draft sales and distribution agreements (internal between groups) for film licenses with foreign and domestic companies.
Create and review draft purchase and distribution agreements (internal between groups) for film licenses with foreign and domestic companies.
Conduct limited due diligence on counterparts for an agreement with the Company and/or Company Group (in connection with the purchase, sale and distribution (internal between groups) of film licenses with foreign and domestic companies).
Conduct contract negotiations with other parties in order to reach an agreement in relation to agreements thereof, limited to contracts in relation to the purchase, sale and distribution (internal between groups) of film licenses with foreign and domestic companies.
Conduct legal research in accordance with applicable laws and regulations.
Manage all corporate approvals, documentation, due diligence, review of credit agreements between the Company and group companies internally and with other third parties (including banks).
Manage investment agreements between Group companies and other third parties.
Manage general and special permits for companies and group companies (based on request).
Manage all corporate legal actions of the company according to instructions from the company.
Bachelor’s in law is a Must.
Minimum 10 years experience as legal Manager in company/law firm.
Having experience of reviewing & drafting agreement, MoU and other legal documents.
Able to analyze a case and provide an opinion from legal perspective.
Carry out tasks in accordance with the SOP’s set by the Company.
Having experience in handling company license (OSS RBA).
Having certification to act in court is preferred.
Willing to travel Indonesia for business trip.
Fluent in English (both speaking and writing) is a MUST.
