Job Description

Key Responsibilities

  1. Corporate Legal Advisory
    • Provide sound legal advice on a broad range of corporate and commercial issues across various industries.
    • Draft, review, and negotiate contracts, agreements, and other legal instruments.
    • Support business units and senior management in identifying and mitigating legal risks, ensuring that decisions are legally sound and aligned with business objectives.
  2. Corporate Actions & Transactions
    • Lead and support corporate actions including mergers & acquisitions (M&A), joint ventures, investments, divestments, and corporate restructurings.
    • Manage and conduct legal due diligence, transaction structuring, and negotiation processes.
    • Coordinate with external counsel in Indonesia and other jurisdictions as required.
    • Ensure compliance with relevant laws and regulations in Indonesia and other applicable regions.
  3. Corporate Secretarial & Governance
    • Support corporate secretarial functions, including drafting board and shareholder resolutions, preparing minutes, and maintaining statutory records.
    • Ensure timely filings and compliance with requirements of the Ministry of Law and Human Rights and other authorities relevant to private companies.
    • Advise the Board of Directors and management on corporate governance best practices.
  4. Risk Management & Compliance
    • Monitor changes in laws and regulations that impact the company and advise management accordingly.
    • Develop, implement, and maintain internal policies and compliance frameworks.
    • Ensure company-wide compliance with legal, regulatory, and ethical standards, including data privacy, anti-bribery, anti-corruption, and labor law.
  5. Stakeholder Engagement
    • Work closely with senior leadership, business teams, and external stakeholders to provide practical and commercially oriented legal solutions.
    • Liaise with regulators, legal advisors, and business partners in Indonesia and abroad.
The Successful Applicant

Qualifications & Requirements

  • Bachelor of Laws (LL.B) from a reputable university; Master of Laws (LL.M) is an advantage.
  • Minimum 6 years of post-qualification experience, preferably with exposure to diverse industries.
  • Licensed advocate under the Indonesian Bar Association (PERADI).
  • Proven track record in handling corporate actions (M&A, joint ventures, investments, restructurings).
  • Experience in corporate secretarial and governance matters for private companies.
  • Strong knowledge of Indonesian company law, contract law, and general corporate regulations.
  • Regional or multi-jurisdictional experience is highly desirable.
  • Excellent drafting, negotiation, and problem-solving skills with strong attention to detail.
  • Strong communication and interpersonal skills with the ability to work effectively across functions and cultures.
  • Fluency in English (written and spoken).
  • Mandarin speaker is an additional plus point.
