RPO Recruitment's client is urgently seeking the expertise of an General Manager : Legal, Compliance & Company Secretary in Gauteng.
The successful candidate will provide corporate governance and Board support / stakeholder communication and liaison / strategic input and industry insight / compliance.
Responsibilities
- Outstanding organisational skills, excellent verbal and written communication skills.
- Ability to work collaboratively with Chairman / CEO, Principals, and Executive team members.
- Ability to supervise and manage multiple projects at the same time.
- Ethical, proactive and initiative taking when completing tasks.
- Ability to engage with potentially hostile audiences and embed compliance.
- Develop and implement the Corporate Compliance Programme.
- Develop and implement the Corporate Risk Register.
- Reports to the CEO and Board of Directors regularly to review progress on programme implementation and establish improvement plans.
- Review and draft agreements and contracts, negotiate terms, ensure legal compliance, and regularly update standard documents / forms to meet regulations.
- Ensures and monitors compliance with local and international laws / standards about market abuse, conflicts of interest, market conduct, and employee compliance.
- Perform secretarial duties for various committees, board and shareholder meetings (eg compile and circulate notices, agendas and meeting papers for various committees, draft and file minutes etc).
Requirements
- Bachelor of Law Degree (LLB) and admitted Attorney in the High Court of South Africa.
- 8 - 10 years of experience across strategic and senior management functions.
- 5 years' plus experience in Compliance Risk Management and Company Secretarial Practice within a corporate legal department in the mining industry or a reputable law firm.
- Experience working in fast-paced environment.
- Proven ability to execute effectively against strategy and exceed goals consistently.
- Member of the South African law society / professional institute.
- Certifications in corporate governance or company secretarial practices (e.g, ICSA) are an added advantage.
- Regulatory knowledge of the mining industry.
- Legislative knowledge of the laws governing mining.
- Good understanding of corporate governance, regulatory and financial compliance requirements.
- Environmental, Social and Corporate Governance (ESG), social impact and sustainability framework.
- Ability to work under pressure and perform tasks with limited direction.
