The purpose of this role is to Support the Company Secretarial team and Principal Investor Relations by providing administrative assistance to ensure regulatory compliance, efficient board operations and effective investor relations.

Job Description

As our Company Secretary Practitioner your responsibilities will include but are not limited to:

Safety, Health, and Environment

Support a culture of safety, health, and environmental stewardship, ensuring that all corporate governance activities align with and promote these principles.

Performance and Delivery
Company Secretarial Compliance
  • Provide support to the Company Secretarial team to maintain and update corporate records for the South African subsidiaries on Kuberno. Ensure timely compliance with all statutory filing requirements to avoid fines. Provide support to administer statutory changes, including Directors, Secretary, Registered Office, Articles of Association/Memorandum of Incorporation, company name changes, annual returns, and beneficial ownership filings for subsidiaries with the CIPC and Trusts with the Master’s Office.
  • Ensure that governance arrangements related to the Group’s operating licenses are adhered to, ensuring mandatory registrations with relevant government departments. Liaise with the Principal Transformation to manage the annual submission of governance documents required for the Broad-Based Black Economic Empowerment rating certificate.
  • Prepare and provide auditor packs as part of the annual statutory audit. Address audit requests for companies and trusts within the Company Secretarial (Cosec) portfolio.
  • Maintain and update the conflict of interest register for board members and trust.
Meeting Management
  • Organise and maintain electronic and hard copy records of all minutes, resolutions, and declarations for Kumba, its subsidiaries, and the various Trusts.
  • Arrange and manage meetings, including the Ethics Committee, board and committee meetings, AGM roadshows, and ad hoc meetings for board members. Ensure meetings align with the approved Corporate and Board calendars. Provide general assistance during meetings, including taking minutes at the Ethics Committee. Also, manage the booking of rooms, catering, and equipment.
  • Upload SIOC Opco packs on Diligent and Teams, ensuring accessibility of the documentation.
Director Onboarding and Corporate Governance
  • Schedule onboarding engagements for newly appointed directors, register them with IODSA, and maintain their training records.
  • Assist with governance arrangements related to the Group’s banking/treasury operations, including delegated authorities and bank mandates. Prepare and collate KYC/FICA documentation and maintain records of all agreements, excluding supply chain agreements.
  • Address ad hoc company secretarial requests from sites, HQ, other Business Units, and global Cosec teams. Liaise with Legal, Tax, Treasury, Finance, and external agencies on statutory documentation for corporate transactions and projects.
  • Assist the Compliance Specialist with the GPSC (policy register) and support the Business Integrity Implementation Manager with intermediary risk management administration.
Investor Relations Support
  • Planning and logistical management of investor roadshows and events. This includes coordinating travel arrangements for the Investor Relations team, securing venues, and arranging necessary equipment and materials. Ensure that all details are meticulously planned to facilitate smooth execution and adherence to the schedule.
  • Format and distribute Investor Relations documents, including Annual/Interim results backup and Investor Roadshow packs. Ensure these documents are accurate, professionally presented, and promptly uploaded to platforms such as Diligent. Monitor the availability and accessibility of documents to stakeholders.
  • Arrange for and monitor the timely upload of SENS announcements, presentations, and other investor material, such as videos, on the investor relations web page as required.
  • Assist in preparing and maintaining the annual investor relations calendar, documenting all key events, announcements, and deadlines. Update the calendar regularly with any changes and communicate updates to relevant stakeholders.
  • Support the Principal Investor Relations in managing the Nasdaq system by updating data, uploading required documents, and ensuring the system is up-to-date with the latest company information. Provide troubleshooting assistance and ensure the accurate reflection of company activities in the system.
Research and Documentation
  • Maintain a record of credible and relevant information sources, including legal databases, industry reports, regulatory bodies, and professional publications and regularly update their reliability and relevance.
  • Systematically collect data and information as the Company Secretary or team determines. Use standardised templates and checklists to ensure completeness and consistency in data gathering.
  • Maintain organised records of research documentation, including source materials, research notes, and completed reports. Use document management systems to ensure secure and efficient storage and retrieval.
  • Apply version control practices to track changes and updates to research documents. Ensure the most recent versions are readily accessible and that historical versions are archived appropriately.
Administrative Support
  • Manage expense reconciliations and invoice administration for company secretarial and Investor Relations expenses.
  • Prepare and create purchase orders on SAP and manage the full invoicing process for both departments.
  • Liaise with travel agents for bookings and visa applications, ensuring compliance with company travel policies.
  • Provide general administrative support, including document filing and storage (both paper and electronic), handling post and couriers, and assisting with document preparation in line with company templates. Manage stationery and consumable orders. Monitor diaries to confirm critical appointments.

This role is in the Finance (FIN) department on a band 8.7 level reporting to the Company Secretary.

Qualifications
  • Grade 12/ N3 Technical
  • Relevant Office Administration qualification on NQF4
  • ACIS qualification in Administration and Governance or equivalent on NQF5 (Preferred)SA Drivers Licence
Technical Knowledge
  • 3-5 years of relevant experience in a company secretarial environment.
  • Proficient in MS Office, with knowledge of SAP and the Nasdaq system (advantageous).
  • Familiarity with board structures, committee functions, and the roles and responsibilities of directors and trustees.
  • Understand compliance standards, such as anti-corruption laws, data protection regulations, and industry-specific compliance requirements.
  • Familiarity with administrative processes related to research documentation, reporting, and communication.
