Job summary
A leading advisory firm in Singapore is seeking a Legal Counsel to provide legal advice and guidance, particularly in mergers and acquisitions and general corporate law. The ideal candidate will have at least 8-12 years of experience and a law degree accredited in Singapore. Qualifications
- Degree in law (LLB) and called to the Singapore bar.
- Min 8-12 years of experience in a law firm or as a legal counsel.
- Expertise in mergers and acquisitions and general corporate law.
Responsibilities
- Provide legal advice and guidance on Singapore law and regulations.
- Draft and review commercial contracts, terms, and conditions.
- Lead legal assistance on business development activities including M&As.
- Supervise incorporation of companies and corporate formalities.
- Compensation: $10,000 - $18,000 + AWS + Yearly Bonus
- Working Days: 5 Days, 9AM to 6PM
- Office Nearby Tanjong Pagar or Shenton Way MRT, Singapore

The company is a group that focuses on trading and distributing steel related products. Right now, company is looking for a legal expert to assist in building legal team. There will be 105 minutes of pre- interview assessment [ M&A Works & Trading Knowledge ].
- Degree in law (LLB) in university and called to the Singapore bar.
- Min 8-12 years of experience’ in either a law firm or as a legal counsel, preferable experience covered from Commodity Trading and M&A works.
- Expertise in mergers and acquisitions, general corporate law, knowledge of and litigation.
- Must be comfortable to work at China Entity as management team are mostly mandarin speakers from China.
Position holder provides legal advice and legal guidance regarding all aspects of Singapore law and various applicable laws, regulations, and Company rules.
- Legal advisory work: advising the Group’s business departments, Managing Directors of Affiliates, traders, in drafting legal opinions, drafting, reviewing, and negotiating commercial contracts, developing and/or updating relevant templates and standard Terms & Conditions for all businesses in Singapore.
- M&A : leading the legal assistance on business development activities (establishment of new JVs, divestments, acquisitions of shares of assets), assisting, advising and negotiating alongside with the business, finance and tax teams and ensuring the drafting and reviewing of all the corporate transactions, preparing legal notes and coordinating with risk/ compliance, tax and finance teams to consolidate a comprehensive legal and compliance opinion.
- Corporate Secretarial : in charge directly or supervising i) incorporation of companies, corporate secretarial, business registration, renewal matters ii) all formalities in relation to board and shareholder meetings and formalities, ensuring compliance with applicable laws on corporate secretarial matters
